OverDrive, Inc. is Hiring a Corporate Counsel Near Cleveland, OH

The Corporate Counsel's responsibilities include preparing contracts as well as preparing, reviewing, and negotiating a variety of other legal agreements. This position serves as a primary point of contact with internal and external parties in relation to customer contracts, negotiation of customer contracts, compliance issues, and other legal support.
*** We are currently in a hybrid schedule, 2 days on campus and 3 days WFH. ***
This position is located in our Cleveland, Ohio (USA) Headquarters.

Responsibilities:

  • Draft, prepare, and review customer, supplier, and vendor contracts.
  • Support the company’s sales staff and other internal departments with contract-related issues.
  • Assist with inquiries regarding contract terms and liaise with key internal and external constituents (via phone, Zoom, Slack, and email) to discuss contract status and revisions.
  • Support the continuous improvement of standard forms, contract terms, and legal processes.
  • Perform legal research on critical areas such as accessibility, intellectual property, and privacy.
  • Create and maintain documentation, memos, and other resources related to legal processes and company policies, e.g., privacy policies, terms & conditions, and EULAs.
  • Assist with the preparation and responses to Requests for Proposals (RFPs) and Requests for Information (RFIs) and similar.
  • Maintain confidentiality at all times and disperse information on a strictly need to know basis.

Requirements:

  • Law Degree from an accredited law school.
  • Member of a state bar in good standing.
  • 0 - 3 years’ experience as corporate counsel (or similar role) at a technology company or in a law firm with transactional, business law, and licensing experience.
  • Familiarity with the following areas: intellectual property, digital media, digital distribution, U.S. government contracting, and vendor contracts.
  • Critical thinker who possesses a strong business acumen and excellent judgment.
  • Must be able to work independently, manage multiple priorities, and pivot between responsibilities in a fast-paced, high-growth environment.
  • Proficiency with the Microsoft Office suite.
  • Well organized with strong attention to detail.
