We’re seeking future team members for our Legal- Markets Foreign Exchange team with roles located in Hong Kong in Hybrid positions.
You’ll make an impact in the following ways:
- An attorney with strong ISDA documentation negotiation skills and foreign exchange and derivatives background
- Knowledge of NAFMII Agreements. Serve as in-house legal counsel for the Markets’ growing foreign exchange business in APAC region reporting to the Asia Pacific Head of Legal for Markets and Clearance and Collateral Management.
- Advise the business, Compliance and other business partners on legal issues relating to transactions, relationships with clients and new business and operational initiatives. Serve as liaison with outside law firms.
- Support transactional matters for Corporate Treasury function in APAC. Prepare pertinent legal reports.
- Review and make recommendations on proposed contracts and regulatory requirements.
- Provide support with respect to legal documentation (including ISDA Master Agreements and Collateral Agreements, NAFMII Agreements and Supplements, FX Spot letters, attestation letters, industry protocols & etc.) related to the foreign exchange and derivatives business in APAC.
- Review and draft ancillary documentation (e.g. guarantees, non-disclosure agreements, consent letters, authorization documents & etc.)
- Review of constitutional documents, netting, collateral and capacity opinions as may be required as well as assist with draft of additional bespoke provisions of particular jurisdictions or counterparty types.
- Review liquidity arrangements, repurchase agreements, account opening documentation and securities purchase agreements for Corporate Treasury department in APAC.
- Assist operation team in Singapore on issues relating to documentation. Assist in creating standardized documentation, precedents and relevant legal procedures for transactions.
- Liaise with relevant internal stakeholders in APAC and in New York head office (including but not limited to trading, sales, credit, treasury, tax & etc.)
- Keep work in progress records up to date and disseminate information with regard to executed documentation.
- Provide transactional support to the Markets FX business in APAC and act as subject area expert and make significant contribution to guiding the business, Compliance and other business partners on legal matters. Assist on external and internal approval processes. Liaise with external counsel when required.
- Identify risks and make proactive recommendations to mitigate and/or eliminate such risks.
- Review and comment on marketing materials, disclosure documents and client presentations for the business and marketing departments and advise on cross-border marketing restrictions in various APAC jurisdictions.
- Conduct legal review on cross-border marketing restrictions, fly-in fly-out arrangements, and changes of FX and OTC derivatives regulations in APAC and liaise with local counsel in each relevant jurisdictions to obtain relevant advice on such review. Review legal opinions and prepare useful summaries for the business and other stakeholders in APAC.
- Support business, risk and compliance colleagues in the development of new policies and procedures.
- Support global transactional projects and other ad hoc projects relating to the business. Coordinate with colleagues in the United States and other regions on major projects and items of common interests including, without limitation, common approaches to risks.
To be successful, we’re seeking interest in the follow areas:
- At least 5 years’ direct experience negotiating ISDA Master Agreements and Collateral Agreements. Knowledge of NAFMII Agreements. In depth understanding of the legal basis for netting and collateralization. Derivatives and foreign exchange legal experience required.
- In depth commercial awareness of direct competitors
- Strong knowledge of applying developed historical, emerging laws and regulations in APAC countries.
- Ability to meticulous attention to detail and strong analytical and drafting abilities.
- Evaluate complex situations using multiple sources of information.
- Demonstrate flexibility and creativity to resolve issues.
