Responsibilities
- Draft and review transactional documents with direct attorney mentorship and client interaction.
- Play an active role on buy-side and sell-side mergers and acquisitions.
- Prepare transaction schedules and assist with closing coordination.
- Conduct corporate and real estate due diligence.
- Research and advise clients on a variety of commercial legal matters while supporting outside general counsel services.
- Build trusted relationships with business owners and executives across diverse industries.
- 2-5 years of business transactional law experience (summer associate and part-time experience will be considered).
- Massachusetts Bar License in good standing.
- Experience drafting and reviewing commercial contracts and transactional documents.
- Working knowledge of entity formation and business structuring.
- Familiarity with M&A deal flow, due diligence, closing processes, and transaction documentation.
- Understanding of Asset Purchase Agreements (APA), Membership Interest Purchase Agreements (MIPA), Stock Purchase Agreements (SPA), and commercial finance documents.
- Securities law exposure is a plus, but not required.
- Strong academic credentials, excellent communication skills, and a collaborative, client-focused approach.
- An entrepreneurial mindset with a genuine interest in developing a long-term legal practice.
