Key Responsibilities
Transactional Support
- Assist attorneys with transactional matters including contract drafting, document review, due diligence, and closing preparation
- Draft, review, and revise legal documents such as contracts, agreements, and corporate governance materials
- Conduct due diligence by reviewing and summarizing corporate and legal documents, identifying risks or inconsistencies
- Prepare and organize closing documents, including checklists, signature packets, and final binders
- Coordinate transaction closings by managing timelines, tracking deliverables, and communicating with involved parties
- Maintain corporate records, entity formations, and compliance filings
- File and retrieve documents with state agencies, including business registrations and UCC filings
- Support post-closing activities, including document distribution and record retention
- Draft correspondence and legal documents from written or dictated instructions
- Manage calendars, deadlines, and scheduling for attorneys
- Maintain organized physical and electronic filing systems, including conflict checks and file management
- Handle incoming and outgoing mail and coordinate document delivery
- Assist with time entry, pre-billing, and general billing support
- Coordinate meetings, travel arrangements, and other administrative needs
- Provide backup support to administrative team members as needed
- Minimum 3 years of experience in transactional legal support (law firm or similar environment preferred)
- Strong understanding of corporate and transactional processes, including contract management and closings
- Experience with entity formations, corporate governance, and regulatory filings preferred
- Proficiency in Microsoft Office and legal software (document management and billing systems)
- Excellent drafting, proofreading, and organizational skills
- Strong attention to detail and ability to manage multiple deadlines
- Professional communication skills with the ability to interact effectively with attorneys and external parties
- Ability to handle confidential information with discretion
- Typing speed of 70 WPM preferred
- Willingness to work occasional overtime based on business needs
Salary : $58,000 - $65,000
