We are seeking a highly organized and detail-oriented Contracts Manager to join our team. As a Contracts Manager, you will play a crucial role in managing our company's contracts and ensuring compliance with legal and regulatory requirements. Your primary responsibility will be overseeing the entire contract lifecycle, from negotiation and drafting to execution and renewal. The ideal candidate will have excellent communication skills, a strong understanding of contract law, and the ability to work collaboratively with various stakeholders. The ideal candidate will also have a professional degree of proficiency in operating and optimizing contracts management software, including CLM and other contract tools.

This is a non-supervisory, individual contributor role.

Essential Job Duties:

• Draft, review, prepare, edit and negotiate a wide range of contracts, including vendor agreements, service contracts, confidentiality agreements, finance agreements, master services and purchasing agreements and licensing agreements, ensuring compliance with legal and company policies.
• Collaborate with internal stakeholders, such as legal counsel, sales, finance, respective business units, and procurement, to identify contract requirements and objectives.
• Conduct thorough contract analysis and risk assessments to identify potential legal and financial implications, and provide recommendations to mitigate risks.
• Manage contract repositories and ensure accurate documentation, organization, and maintenance of contract files, including tracking key dates, milestones, and obligations.
• Facilitate contract execution process, ensuring timely review, approval, and signature by all parties involved, while maintaining proper version control.
• Monitor and track contract performance, including deliverables, milestones, deadlines/dates and obligations, to ensure compliance and adherence to contractual terms and deadlines.
• Collaborate with cross-functional teams to resolve contract-related issues, disputes, or conflicts, ensuring effective communication and maintaining positive relationships.
• Conduct periodic contract audits and compliance checks to ensure adherence to contractual obligations, regulatory requirements, and company policies.
• Stay up-to-date with changes in contract laws, regulations, and industry best practices, and provide guidance and training to internal teams as needed.
• Assist in the development and improvement of contract management processes, templates, and tools to enhance efficiency and effectiveness within the organization.
• Manage and improve specialized contracts software, including AI-assisted technologies and Company-specific intranet portals, on a self-directed basis as well as in a collaborative setting with Legal, IT, vendor, and other professionals.

Preferred Qualifications:

• Undergraduate degree.
• 5-10 years of relevant experience.
• Strong work ethic and proven ability to multi-task and set priorities.
• Excellent communication, analytical, and writing/editing skills.
• Technical acumen with managing a contract management software platform.
