Steptoe LLP is Hiring a Corporate Senior Paralegal Near Washington, DC
Steptoe LLP is seeking a Corporate Senior Paralegal to join either the Washington, DC or New York office.The Corporate Senior Paralegal provides comprehensive support to lawyers in the Corporate Practice Group for the execution of complex tasks that require significant practice-area expertise. Responsibilities may include drafting and reviewing legal documents for corporate transactions, conducting thorough research and due diligence for mergers, acquisitions, and entity formations, and ensuring meticulous record-keeping to maintain compliance with state and federal regulations. Facilitate seamless client communication, oversee the organization and management of transaction documents, and conduct legal research in the realm of corporate and business law. Manage the closing process, cultivate expertise in public and private company life cycles, navigate regulatory requirements, and handle investor documentation.
Essential Functions
Provide paralegal support to lawyers and clients on all transactional and similar complex corporate matters.
Prepare and coordinate routine corporate filings; conduct UCC and SEC research; prepare initial draft documents for company formations, amendments, dissolutions, stock certificates and ledgers, IRS filings; perform due diligence and prepare contract summaries; file annual reports and corporate franchise taxes.
Provide transactional support including initial draft documents, resolutions, checklists, research, proofing, editing, and document organization.
Confer and liaise with Secretaries of State, Foreign Consulates, the IRS and other State/Federal Government organizations. Serve as liaison for clients and/or opposing counsel while keeping supervising lawyer(s) informed.
Organize and monitor ongoing responsibilities according to priorities and ensures that established schedules and deadlines are met.
Prepare daily time entries and other firm accounting documentation as required by established policy.
Nonessential Functions
Assist with pro bono and client development projects
Complete other duties as assigned
Minimum Qualifications
Bachelor's degree required
Paralegal Certificate from an ABA-approved school preferred
Five years of corporate governance/law firm transactional experience

The anticipated base salary range for this position is $75,000 - $120,000. The actual base salary offered will be dependent upon the applicant's experience and qualifications, as well as other job-related factors, including but not limited to, relevant skills, education, certifications or other professional licenses held, and if applicable, geographic location.
