WITHIN THE COMPANYThe ‘Packaging and Color Management’ Group is under the Veralto Packaging and Color Management Platform (“PCM”) and includes the organizations Esko/AVT and X-Rite/Pantone. The companies are independently operated and manufacture and sell product marking and coding equipment, consumables, software and services.The PCM companies offer solution support and manage the packaging and print processes as well as color at major brands, retailers, designers, print houses and packaging manufacturers. Together, they employ approximately 2,400 employees.The Esko Brand Solution headquarters is located in Wood Dale, IL, however, the position will be remote.WITHIN THE ROLEThe Senior Counsel will, as a member of the legal team, take the lead in negotiating the terms of various types of commercial transactions on behalf of the PCM companies, and be involved in other legal matters for the group.Whilst the focus of the role will be to support the platform’s “Brand Owner Business” in negotiating software licensing deals with its larger customers, you will also be involved on a global basis in drafting, negotiating, managing and overseeing various types of other contract/commercial agreements. The role will involve also partnering with business leaders and sales/service employees to provide guidance on topics that touch on commercial law, such as distributor management, competition laws and compliance, including global distributor compliance programs.WITHIN THE RESPONSIBILITIES Gaining a solid understanding of the business, its goals and challenges and identifying appropriate commercial contract strategies to facilitate those goals and minimize those challenges on a global basis. Negotiating, strategizing, documenting and approving commercial transactions, contracts and other legal arrangements, with a focus on software licensing, the sale of SaaS Services, R& D agreements, OEM agreements and inbound and outbound licensing of IP. Assisting the business with providing commercial-related legal advice, aimed at avoiding or resolving disputes with customers or suppliers and advising on renewing/terminating worldwide distributors. Providing legal support and advice relating to the business model and corporate structure to different functions at different levels.
