Role SummaryWe are seeking an exceptional attorney with deep in-house experience and a passion for growth to join our legal team as Associate General Counsel. The successful candidate will have a record of success working across a variety of legal areas and have a strong acumen for helping deliver on corporate objectives and strategy. This individual will have the opportunity to directly contribute to the Company’s success, help to grow the legal team and lead or partner on a broad range of corporate matters, including capital markets and business development activities, internal and external communications, corporate governance matters and will collaborate with cross-functional teams on a variety of key initiatives.
LocationThis position is based in New York City with flexibility regarding onsite/offsite work schedules and will report to and work closely with the Chief Legal and Administrative Officer. Exceptional candidates residing outside of the New York City region will be considered to work on a remote basis. 
Primary Responsibilities

• In partnership with Company’s controller and outside counsel, oversee the company’s SEC filings, including quarterly reports on Form 10-Qs, 10-Ks, earnings releases, Form 8-Ks, Annual Report, Proxy Statement and annual meeting, Section 16 filings and other SEC filings, and ensure compliance with SEC and Nasdaq policies and requirements
• Assist in corporate governance and board matters, including preparation of board materials, minutes and updates to corporate charters and policies
• Partner with the company’s investor relations and corporate communications teams related to ongoing stockholder and other stakeholder engagement programs, including external communications and presentations to ensure compliance and consistency in all public disclosures
• Partner with the company’s finance team to support capital raising efforts, including public and private financings
• Provide counsel for strategic transactions including leading legal due diligence, devising and advising on transaction structures and business terms, assisting with the preparation of term sheets and agreements, and ensuring the preparation and final negotiation of transaction documents
• Oversee development, implementation, training and ongoing counsel to internal stakeholders on key policies, procedures, practices and requirements for healthcare and related legal compliance and educate clients and partners about current enforcement trends
• Additional duties as required

Required Skills & Qualifications

• Minimum of 10 years' legal experience including substantial in-house counsel experience at one or more life sciences companies
• JD from a nationally accredited law school, top-tier law firm training, and member in good standing of a State Bar
• Thorough understanding of securities laws and regulations and corporate governance matters
• Experience with inbound and outbound licensing and collaboration agreements, strategic alliances, and mergers and acquisitions
• Working understanding of accounting and financial statements, business models and drivers, and revenue recognition standards and related SEC regulations and disclosure requirements
• Experience creating, monitoring and/or contributing to financial and stock trading compliance program processes and procedures
• Deep experience in healthcare law compliance and related regulatory and enforcement environment
• Exceptional oral and written communication skills, including proven ability to interact and communicate effectively with individuals from multiple departments at all levels of the organization
• History of self-motivation and working independently on projects, while meeting aggressive deadlines and juggling multiple matters in a highly-accountable environment
• Excellent analytical skills with a practical, business-oriented and strategic approach to identifying and solving business and legal problems; ability to think strategically while still paying close attention to detail
• Highest levels of professionalism and interpersonal skills with sound judgment and commitment to ethical conduct, including ability to handle confidential and/or sensitive information using appropriate discretion
• Comfortable and adept at balancing risk and opportunity and providing timely and clear guidance to colleagues across the organization

Anticipated Salary RangeDepending on qualifications and overall experience, base salary is likely to be $250,000 – $300,000 per year.
