Job Details:

Frazier & Deeter is looking for a diligent and experienced Corporate Paralegal to join our legal team. The ideal candidate will have a strong background in corporate law and a proven track record of managing corporate governance at a multinational company. Under the supervision of counsel, this Corporate Paralegal will be responsible for entity management working collaboratively with other members of the legal team as well as the tax, treasury, accounting, finance, HR, and business teams.

Primary Responsibilities: (other duties may be assigned)

  • Coordinating the collection, review, and production of documents and responding to discovery requests.
  • Assist in the legal due diligence process, including reviewing contracts and other due diligence materials.
  • Assisting the General Counsel in the review and execution of various legal documents in connection with the company's M&A transactions, including confidentiality agreements and other ancillary transaction agreements.
  • Assist with a broad range of other corporate and legal matters, particularly in the area of corporate governance and commercial contracts, as and when required.
  • Draft legal contracts, correspondence and other documents.
  • Assist with paperwork needed by regulatory bodies.
  • Respond to Requests for Information.
  • Assist with ethics and compliance programs.
  • Perform legal research.
  • Updating leadership with timely analysis and summaries of new legislation/regulations affecting the business.
  • Assists in implementing changes to contracts to comply with legislation/regulations.
  • Responsible for support related to litigation, mediation, arbitration, and responses to complaints.

Requirements:

  • 3-5 years of experience in a general corporate, transactional, or mixed transactional/litigation practice, working with corporate documents including internal investigation and discovery responses, litigation assistance, corporate filings, and M&A due diligence.
  • Bachelor's Degree preferred
  • Professional services business experience preferred
  • Paralegal certification is a plus
  • Proficiency in Microsoft Office Suite
  • Excellent written and verbal communication skills
  • Superb attention to detail, as well as organizational and multitasking skills
