Responsibilities
As a Corporate Paralegal, you will be at the forefront of corporate transactions, guiding our client through the intricate web of federal, state, and local regulations. Key responsibilities include:
- Assisting lawyers throughout the lifecycle of corporate transactions and generating requisite documents for regulatory compliance.
- Providing invaluable support in due diligence reviews, ensuring meticulous examination and analysis.
- Orchestrating the seamless closure of transactions, managing signature page packages, overseeing the delivery of documents and deliverables, confirming the completeness of closing checklists, and curating closing books with meticulous indices.
- Navigating the complex landscape of corporate and securities filings, encompassing Form D and state blue sky filings.
- Crafting, reviewing, and filing UCC financing statements, ensuring accuracy and compliance.
- Initiating and scrutinizing UCC, lien, litigation, and analogous searches to guarantee comprehensive and precise information.
- Undertaking entity formation and maintenance, coupled with the handling of related filings.
- Scrutinizing and compiling officer's certificates, resolutions, organizational documents, and other deliverables to meet the highest standards of excellence.
Experience & Qualifications
To thrive in this role, the ideal candidate should possess:
- A Bachelor's or Associates Degree or a Paralegal Certificate along with equivalent experience.
- A minimum of 5 years of corporate law experience is mandatory, preferably gained in a law firm setting.
- A preference for candidates with blue sky experience, demonstrating a nuanced understanding of complex regulatory landscapes.
