The Director, Executive Compensation and Stock Administration leads the strategy, design, and implementation of executive compensation programs including base pay, short-term incentives, long-term incentive structures, and deferred compensation. Responsible for preparing materials for the Compensation Committee of the Board of Directors and working closely on executive compensation and equity program disclosures. The ideal candidate will have a strong technical background in executive compensation, excellent communication skills, and the ability to build relationships with key stakeholders. This role reports to the VP, Total Rewards & HR Operations and will directly manage a two-person team with indirect oversight for HR colleagues performing equity administration duties located in various countries.

  • Develop and implement an executive compensation program that aligns with the company's strategic goals and objectives following a spinoff.
  • Develop materials for Compensation Committee meetings including collaborating with the external Committee consultant.
  • Proactively provide recommendations to improve the executive compensation program. 
  • Oversee the compensation program for all positions at the VP level and above, including benchmarking, salary ranges, and short and long-term incentive opportunities.
  • Ensure internal equity, external competitiveness, and regulatory compliance of the program.
  • Design and administer the equity program, including the development of equity award grant guidelines, forms of awards, plan documents, and the tracking of equity awards.
  • Collaborate with Talent Acquisition and senior leaders to develop offers for external candidates at the VP level and above.
  • Develop strong governance and oversight of executive compensation programs to ensure compliance with regulatory requirements and develop the necessary policies and processes.
  • Work closely with the Office of the Corporate Secretary to ensure accurate and timely disclosure of executive compensation information in the proxy statement and other SEC filings.
  • Partner with Finance colleagues on incentive design, accounting and tax implications of executive compensation programs, and equity plan administration.
  • Build relationships with executives to ensure they understand their compensation arrangements and how they work.
  • Establish rapport, credibility, trust, and respect throughout the organization at all levels, and be viewed as a team player with exceptional communication and analytical skills.
  • Develop employee communications for any executive compensation programs, including annual equity awards.
  • Excellent analytical, problem solving and financial modeling skills, with high level of accuracy and attention to detail; position requires advanced mathematical skills, financial knowledge, excel skills and spreadsheet analysis.
  • Strong knowledge of SEC regulations, voting policies of shareholder advisory firms, and best practices in executive compensation.
  • Excellent written and verbal communication and interpersonal skills, with the ability to build relationships with key stakeholders and interact effectively with all stakeholders including executive leadership.
  • Strong conflict resolution, influencing skills, and client service orientation.
  • Strong analytical and problem-solving skills, with the ability to analyze complex data and develop effective solutions.
  • Ability to work independently and as part of a team, with a high level of initiative and a results-oriented approach.
  • Demonstrated ability to achieve results; previous experiences should include successfully recommending and implementing new programs, best practices, and change initiatives.
  • Demonstrated ability to build productive working relationships cross-functionally and with external stakeholders.
  • Strong attention to detail and the ability to maintain confidentiality.
  • History of balancing competing priorities with the ability to adapt to the changing needs of the business while meeting deadlines.
  • Requires an undergraduate degree.
  • 7 years of experience in executive compensation, including experience with equity compensation and governance.
  • Experience in a similar role at a publicly traded company preferred.
  • Certified Compensation Professional (CCP) or Certified Executive Compensation Professional (CECP) certification preferred.
  • Experience with equity administration vendors and platforms preferred.

The estimated base salary for this position is $160,000 - $240,000 annually. The estimated range is meant to reflect an anticipated salary range for the position. We may pay more or less than of the anticipated range based upon market data and other factors, all of which are subject to change. Individual pay is based on upon location, skills and expertise, experience, and other relevant factors. This position may also be eligible for discretionary bonuses, commission, and/or long-term incentive .
