Employment:

  • Serve as the primary counsel for all employment and labor-related matters at Carta.

  • Develop, draft, and maintain employment-related agreements, templates, policies, and forms (e.g., employment agreements, offer letters, consulting agreements, contractor agreements, compensation-related plans, policies, separation agreements, employment handbooks, etc.). Continuously improve standard agreements and legal processes and workflows to help scale.
  • Partner with the Carta People team to develop procedures and training programs to ensure compliance with employment laws. Create and deliver training on employment-related issues to educate employees, managers, and the leadership team and enhance Carta’s culture of compliance.
  • Conduct periodic reviews, audits, classification reviews, and compliance assessments of employment-related policies and practices.
  • Continuously monitor changes and updates to employment laws, regulations, case law, and government enforcement activities relating to employment issues and provide proactive, strategic advice to stakeholders as necessary.
  • Manage a portfolio that could encompass a variety of employment matters, including dispute resolution, litigation, unemployment claims, administrative audits, agency charges, and workers’ compensation claims.
  • Support national and international country expansion initiatives and employment-related due diligence and integration activities as part of mergers and acquisitions.

Litigation:

  • Work with our legal team, outside counsel, and other stakeholders to manage a variety of litigation and pre-litigation matters, including but not limited to employment, commercial, IP, trademark, and bankruptcy.
  • Collaborate with and manage outside counsel, including providing tactical guidance to ensure alignment with Carta’s broader legal strategies.
  • Advise cross-functional teams on litigation strategy and risks.
  • Coordinate and actively participate in internal discovery activities and subpoena responses.
  • Assist in managing internal investigations on matters involving legal risk to Carta worldwide.

The Team You'll Work With

Our legal team works cross-functionally to help achieve Carta’s overall mission of building the future of equity ownership. Like the rest of Carta, we are committed to working collaboratively, transparently, and efficiently. We prioritize excellence in our work, embrace a growth mindset and continuous improvement, and strive to develop a deep understanding of our products and services as well as the broader business context in which our clients operate so that we can deliver innovative and creative legal solutions. We require a strong bias for action and driving results and are responsible for supporting all teams across the organization to ensure they have the resources they need to be successful while protecting Carta’s core values and interests.

We are looking for an experienced, creative, collaborative, detail-oriented attorney to join Carta’s legal team to handle a variety of employment and litigation matters. This role will report to Carta’s Deputy General Counsel, Platform. This will be a hybrid position requiring three days in the office in San Francisco, CA.

About You

  • Juris Doctor (JD) from an accredited law school, membership in one state bar (California Bar membership preferred), and ability to practice in the jurisdiction in which this position is located.
  • A minimum of 10 years of legal experience (with several years at a leading law firm and in-house experience) with substantive employment law and litigation experience.
  • Broad subject matter expertise in federal and state employment laws and regulations (focus on the US, but EMEA, LATAM and AIPAC are a plus).
  • Strong project management and organizational skills, and ability demonstrate sound judgment even in fast-paced and ambiguous situations.
  • Strong analytical and problem-solving skills.
  • Excellent drafting and written and verbal communication skills with the ability to break down complex legal jargon and regulations into easy-to-understand and practical advice.
  • A commitment to provide high quality client service and a strong desire to build trusted advisor relationships with key colleagues, clients and executives to effectively provide practical legal and strategic advice to assist the business in meeting its objectives.
  • Thinking ahead, and helping prepare for and address issues that may arise in the future.
  • Ability to manage and handle sensitive and confidential information with the highest levels of integrity, ethical standards, discretion and sound judgment.

At Carta, you’re not just an employee. You’re a builder who is creating infrastructure that accelerates innovation and empowers more ownership. Cartans are helpful, relentless, unconventional, and kind; representing Carta’s Identity Traits. They work collaboratively and cross-functionally to challenge the status quo; working towards a common goal of creating more owners in the private markets.
