Job Description

The stands on the leading edge of biomedical research, with a mission to broadly disseminate discoveries and information to the scientific community and the general public. The Broad's research is pursued through a blend of academic and industrial-scale production of genetic, biological, and chemical outputs, with scientists from Broad, MIT, Harvard, and the Harvard-affiliated hospitals working side-by-side.

The mission of the legal function in the Office of Strategic Alliances and Partnering is to accelerate and expand the dissemination and translation of the Broad Institute's emerging knowledge and novel discoveries through strategic partnering, licensing, and new ventures. The Broad Institute's break-through innovations include novel therapeutics, biomarkers, diagnostics, drug development technologies, analysis tools, and more. Our research areas span a wide array of disease states with significant unmet needs, including cancer, cardiovascular disease, infectious diseases, inflammation and autoimmune disorders, metabolic diseases, neglected diseases, orphan diseases, and psychiatric diseases. The legal function in the Office of Strategic Alliances and Partnering is active in establishing meaningful partnerships ranging from Broad Institute-based research and technology collaborations to joint drug development programs, technology licensing, and sponsored research opportunities.

Job Description:
Broad seeks an energetic, insightful senior counsel with 7 years of relevant experience to join a growing, collaborative team with a focus on complex patent licensing transactions. Responsibilities will include drafting, negotiating, and advising on complex IP (primarily patent) license agreements, as well as academic/industry partnerships in support of Broad's mission to improve human health. The Senior Counsel will have significant opportunities to grow their transaction drafting skills through on-the-job training and mentoring (under the Head of OSAP Legal) and will work closely with academic and business leadership, entities affiliated with the Broad, and industry partners. Day-to-day matters will involve wearing many hats, reflecting the dynamic and diverse activities of the Broad.
PRIMARY RESPONSIBILITIES:

  • Support Head of OSAP Legal with the drafting and negotiation of a wide variety of complex, IP-related license agreements, as well as consortia agreements, service agreements, and material and data transfer/use agreements) in support of Broad's mission to translate innovation and improve human health.

  • Work directly with Broad leadership and internal/external stakeholders to untangle tricky issues and identify practical, risk-based solutions as a trusted advisor.

  • Contribute to the development of standardized training, procedures, playbooks, and templates to ensure our processes scale effectively with our growth and mission.

  • Serve as a point of escalation/supervision for junior team members and outside counsel, as necessary.

  • Represent our team internally and externally, including through presentations, training, and other speaking opportunities.

KEY QUALIFICATIONS:

  • J.D. with 7 years of strong transactional experience drafting and negotiating complex patent license agreements in life science or academic settings, with demonstrated experience leading high-stakes, strategic deals and counseling executive stakeholders.

  • 3 years in the technology transactions or corporate life sciences practice of a major law firm or equivalent experience preferred.

  • Desire to develop expertise with global privacy laws, regulations, and guidelines, in particular those relevant for academic research and genomics.

  • Excellent interpersonal skills with a sense of humor, collaboration, and adventure.
