FUNCTION – SCOPE STATEMENT:
The Director of Board Governance supports the overarching goals and responsibilities of the Boys & Girls Clubs of Greater Houston’s Board of Directors (BGCGH), Board Committees, Regional Boards, and the overall BGCGH governance function. Reporting to the Vice President of Public Affairs & Organizational Development (VPPAOD), this position serves as the liaison between the President & CEO and Senior Leadership team with the Board of Directors. Ensures that Board of Directors has the tools and resources, and information needed to effectively fulfill its responsibilities. Supports the optimization of the Board of Directors as the strategic asset to the organization.
MAJOR JOB TASKS AND RESPONSIBILITIES:
1) Supports the Board of Director, Board committees, Regional Boards, and Board-related task force administration. Maintains current, up-to-date knowledge of Board of Director polices, requirements, and procedures; as set forth in the by-laws.
2) Responsible for Key Governance Metrics: Board Attendance, Committee Participation, Annual Campaign, DEI Goals, Special Events, and additional measures to ensure optimal Board performance and engagement. Plan and execute the full yearly schedule of Board of Directors meetings and associated committee meetings, including special sessions as needed. Creates and manages presentations, spreadsheets, budgets and other materials in support of the Board.
3) Tracks and monitors Board membership terms. Works closely with President & CEO, VPPAOD, Board officers, committee chairs, to determine appropriate committee assignments. Builds relationships with Board members to ensure their talents and skills are being well utilized and evaluate Board Member success.
4) Develops, maintains and organizes on-boarding materials and orientation process for all new board members.
5) Oversees projects necessary for the efficient operations of the BGCGH Board of Directors to include preparing agendas, calendar invites, attendance reports, recording minutes and logistical arrangements for meetings.
6) Working in close collaboration and partnership with the Vice President of Development, oversees coordination of BGCGH Board of Directors financial commitments including preparation of annual commitments, identification and coordination of new partnerships, etc.
7) Works in close collaboration with the Senior Leadership Team, monitor and ensure implementation of their work with the Board of Directors.
8) Serve as Staff liaison for Board Governance & Nominations Committee. Coordinate with President & CEO and the Vice President of Public Affairs to identify, cultivate, and maintain a pool of board member candidates.
9) Serves as Staff Liaison for the BGCGH Honorary Board established to connect former board members and friends to the organization with the intent to create a Planned Giving Society.
Not Required but Helpful: Experience managing Lifetime/Planned Giving initiatives including development and management of the Honorary Board.

RELATIONSHIPS:
Internal: Maintain close, daily contact with the Club management to exchange information, seek and give assistance, consultation and direction. Maintain contact with financial staff and support staff. Maintain written and verbal contact with volunteers and donors.
External:Maintain contact with corporate leaders, community, board members, donors, volunteers, vendors and the public to seek financial support and provide information regarding club activities and needs.
