Purpose

Seerist is currently seeking an experienced Contract Manager to join our Contracts team. This role entails providing comprehensive contract administrator support across the entire commercial contract lifecycle. Responsibilities encompass liaising with customers from the initial stage of interaction, through the negotiation, drafting, and meticulous review processes of the contract.

Role and responsibilities:

  • Commercial Contract Management: Manage the entire lifecycle of commercial contracts from initiation to closeout, including drafting, reviewing, negotiating, and finalizing contracts in accordance with company policies and legal requirements.
  • Commercial Contract Administration: Administer contract changes, amendments, and modifications, ensuring all revisions are accurately documented, communicated, and implemented.
  • Compliance Oversight: Ensure that all commercial contracts comply with applicable laws, regulations, and company policies. Stay updated on legal and regulatory changes that may impact contract terms or obligations.
  • Commercial Contract Database Maintenance: Maintain a comprehensive database of all commercial contracts, including key terms, renewal dates, and obligations.
  • Stakeholder Communication: Collaborate with internal stakeholders, including legal counsel, sales teams, finance departments, and external vendors or clients, to facilitate contract negotiations, resolve disputes, and address contractual issues.
  • Risk Assessment: Identify and assess potential risks and liabilities associated with commercial contracts. Develop strategies to mitigate risks and ensure contractual compliance.
  • Continuous Improvement: Identify opportunities for process improvement and efficiency gains within the contract management process. Implement best practices and standardize procedures to enhance productivity and effectiveness.

Requirements:

  • Bachelor’s degree in Business Administration, Legal Studies, or a related field. Advanced degree or professional certification (e.g., Certified Commercial Contracts Manager, and/or Juris Doctorate Degree) is a plus.
  • 5 year’s experience working as a commercial contract administrator, contract manager, or in a similar role, preferably in technology/software.
  • Strong understanding of contract law, contract terms, and legal terminology. Extensive proficiency in reviewing and negotiating vendor contracts, with a specialized emphasis on Master Services Agreements (MSAs), Subscription Agreements, Data Processing Agreements (DPAs), Service Level Agreements (SLAs), and Non-Disclosure Agreements (NDAs).
  • Demonstrates the ability to effectively evaluate contract terms and negotiate favorable terms and conditions.
  • Experience in managing vendor relationships and resolving vendor disputes or issues in a timely and professional manner.
  • Exceptional attention to detail and analytical skills, with the ability to identify potential risks and liabilities in vendor contracts.
  • Excellent written and verbal communication skills, and the ability to build rapport and trust with external vendors/customers while representing the company's interests effectively.
  • Proficiency in the Microsoft Office Suite.
  • Ability to work independently, prioritize tasks, and manage multiple deadlines in a fast-paced environment.
  • Strong organizational skills and a high level of integrity and professionalism.
