iPipeline seeks to add a Corporate Counsel to manage legal and compliance matters based in Exton, Pennsylvania (Philadelphia area) or Davidson, North Carolina (Charlotte area). The Corporate Counsel will be responsible for providing a broad range of legal services to the company, with a significant focus on technology transactions, contract drafting and negotiation, regulatory compliance, and product development. Familiarity with US and international business and corporate law, as well as privacy and cybersecurity law and regulations, is a must, as is a lean-in, adaptable, team-oriented mindset.

The Corporate Counsel will report to the General Counsel. As an integral part of the team, you will be expected to identify, analyze, and advise the company on a variety of legal and corporate matters to support our operations. You will be a primary point of contact for the Sales and Marketing, Professional Services, R&D, and Finance & Accounting teams, and will be ready to work collaboratively as a business partner to help the business identify and implement practical business solutions to achieve its goals and enable significant growth. You will be responsible for updating, managing, drafting, and negotiating a broad range of contracts including Software as a Service (SaaS), software and technology licensing, service and supply, professional services, consulting, confidentiality, purchasing or procurement, marketing, and other agreements on a regular basis.

The ideal candidate will be highly organized, solution driven, customer service-oriented, pragmatic, and proactive in their approach to contracting and be able to work both collaboratively and autonomously.

Corporate Counsel - Responsibilities Include:

• Reviewing, drafting, and advising on a variety of commercial documents including software license agreements, supply agreements, partner agreements, terms and conditions of sale and purchase, commercial leases, purchasing and procurement documents, consulting agreements.
• Familiarity with international business law, including US, UK, Canada, and European privacy and cybersecurity law and regulation.
• Providing general legal support to business operations, including undertaking legal research.
• Counseling and advising the company on regulatory and compliance risks.

Requirements

• Location: Exton, Pennsylvania or Davidson, North Carolina. This position is a hybrid position, and a mix of in-office and remote work is required.
• J.D. from ABA accredited law school with strong academic record in law school and undergraduate school.
• 2-4 years of experience in private practice (large law firm preferred) or in-house (global company preferred).
• Member of the bar and in good standing in at least one state.
