Tax Attorney – Corporate & Partnership Transactions
Location: Baltimore, MD (Hybrid)
About the Role
An expanding multidisciplinary law firm is looking to add a Tax Attorney to its transactional team. This position centers on advising businesses and investors on tax considerations related to entity formation, deal structuring, and partnership arrangements
.This attorney will play a key role in crafting tax-efficient strategies for privately held companies, real estate ventures, and complex transactions. The role involves close collaboration with attorneys across corporate, real estate, and private client practices.
Key Areas of Responsibility
Business Formation & Structuring
- Counsel clients on choosing and establishing appropriate legal entities, including partnerships, LLCs, and corporations
- Design entity structures that align tax outcomes with business objectives and investment strategies
Partnership and Pass-Through Tax Matters
- Prepare and negotiate governing documents such as operating agreements and partnership agreements with sophisticated tax provisions
- Advise on distribution frameworks, profit and loss allocations, and capital account maintenance
- Interpret and apply partnership tax principles under relevant sections of the Internal Revenue Code
Tax Support for Transactions
- Provide guidance on tax implications related to mergers, acquisitions, reorganizations, and joint ventures
- Structure transactions to optimize tax positioning, including both asset and equity deals
- Support real estate-related transactions including acquisitions, dispositions, and development deals
Real Estate & Investment Planning
- Advise developers, sponsors, and investors on structuring real estate investments for tax efficiency
- Provide counsel on exchange strategies, rollover structures, and exit planning
- Assist with transaction structuring involving institutional and private capital sources
Incentives and Credit Programs
- Guide clients through available tax credit and incentive opportunities at various levels of government
- Work on matters involving programs such as historic tax credits and opportunity zones
Tax Risk & Compliance
- Assist clients in navigating audits and regulatory inquiries
- Partner with litigation teams as needed to address tax-related disputes
Ongoing Advisory Services
- Act as a go-to advisor on day-to-day and long-term tax planning considerations
- Stay current on regulatory changes and communicate potential impacts to clients proactively
Qualifications
- Juris Doctor from an accredited institution; an LL.M. in Taxation is a plus
- Licensed in Maryland or eligible for admission
- Approximately 4–10 years of experience handling tax work in a transactional context
- Strong grounding in partnership taxation concepts
- Demonstrated ability to handle complex structuring matters and client-facing responsibilities
- Excellent drafting, analytical, and interpersonal skills
Preferred Background
- Experience working with privately held businesses, investment sponsors, or real estate developers
- Exposure to tax credit transactions or incentive-based structuring
- Knowledge of multi-jurisdictional tax considerations
