Corporate & Partnerships Tax Attorney
Location: Baltimore, MD (Hybrid)
A growing, full-service law firm is seeking a Corporate & Partnerships Tax Attorney to join its transactional practice. This role focuses on advising clients on the tax implications of business formations, complex transactions, and partnership structures, with a particular emphasis on closely held businesses and real estate ventures.
The ideal candidate will have deep experience in partnership taxation and transactional tax planning, and will work closely with corporate, real estate, and private client attorneys to structure sophisticated, tax-efficient solutions.
Responsibilities
Entity Structuring & Formation
- Advise clients on the selection and formation of business entities, including LLCs, partnerships, S corporations, and C corporations
- Structure entities to optimize tax efficiency while aligning with operational and investment goals
Partnership & LLC Taxation
- Draft and negotiate partnership agreements and LLC operating agreements with complex tax provisions
- Advise on allocations of profits and losses, capital accounts, and distribution waterfalls
- Analyze and apply rules under Subchapter K of the Internal Revenue Code
Transactional Tax Planning
- Provide tax advice in connection with mergers, acquisitions, joint ventures, and restructurings
- Structure asset and equity transactions to achieve favorable tax outcomes
- Advise on real estate acquisitions, dispositions, and development structures, including joint ventures
Real Estate & Investment Structures
- Counsel clients on tax-efficient structuring of real estate investments and development projects
- Advise on like-kind exchanges (Section 1031), partnership rollovers, and exit strategies
- Support transactions involving institutional investors, sponsors, and developers
Tax Credits & Incentives
- Advise on federal, state, and local tax credits and incentive programs, including historic rehabilitation credits and opportunity zone investments
Tax Controversy & Compliance Support
- Provide guidance during IRS and state tax audits and inquiries
- Collaborate with litigation teams on tax-related disputes when necessary
Ongoing Client Advisory
- Serve as a trusted advisor to clients on tax planning, restructuring, and operational matters
- Monitor legislative and regulatory developments impacting clients and provide proactive guidance
Qualifications
- J.D. from an accredited law school; LL.M. in Taxation preferred
- Licensed to practice in Maryland (or ability to waive in)
- 4β10 years of experience in corporate and partnership tax
- Strong knowledge of partnership taxation, including Subchapter K
- Experience with transactional tax planning and real estate structures preferred
- Excellent drafting, analytical, and communication skills
Preferred Experience
- Representation of closely held businesses, private equity sponsors, or real estate developers
- Experience with tax credit transactions (e.g., historic, low-income housing, opportunity zones)
- Familiarity with multi-state tax considerations
