Private Equity–Backed Insurance Brokerage Platform | Southeastern U.S. (Flexible / Remote)
The Opportunity
This role is with a private equity–backed, multi-site insurance brokerage platform that has scaled rapidly through a combination of organic growth and acquisitions. The business generates operates across eight states, with a strong presence in the Southeast and a legacy foundation in Georgia.
The company provides a broad suite of services across commercial property & casualty, personal lines, and employee benefits, with a growing focus on industry-specialized offerings. Backed by a leading private equity sponsor since 2023, the organization has completed nearly 60 acquisitions to date and is entering its next phase of accelerated inorganic growth.
With a highly active deal engine already in place (Nearly 20 acquisitions completed in the last eighteen months and multiple transactions currently under LOI), the company is investing in dedicated M&A leadership to further scale its acquisition strategy.
The Director of Mergers & Acquisitions will play a critical role as the primary deal execution leader—owning transactions from initial evaluation through close, while partnering closely with executive leadership, the private equity sponsor, and a well-established integration team.
Role Overview
The Director of Mergers & Acquisitions will serve as the deal “engine” for the organization—driving a high volume of transactions in a fast-paced, relationship-driven environment. This individual will report directly to the CEO and work closely with leadership and the private equity sponsor to execute the company’s acquisition strategy.
This is an execution-first role for a true deal athlete who enjoys managing multiple transactions simultaneously, coordinating third-party diligence, and bringing deals across the finish line. The role does not require heavy business development, but strong seller engagement and process ownership are critical.
Key Responsibilities
M&A Strategy & Pipeline Management
- Execute a structured and scalable acquisition strategy aligned with the company’s growth objectives.
- Maintain and actively progress a robust pipeline of targets and Letters of Intent through disciplined follow-up and process tracking.
- Collaborate with leadership and external advisors to evaluate and prioritize opportunities based on strategic alignment and geographic focus.
Transaction Execution & Leadership
- Act as the central point of contact across the full deal lifecycle
- Drive transactions from initial screening through LOI, due diligence, negotiation, and closing
- Oversee third-party diligence providers, including QoE, legal, tax, and insurance, while ensuring timelines and deliverables are met.
- Deliver efficient execution in a fast-paced, high-volume deal environment.
Financial Analysis & Valuation
- Develop and review financial models, valuation frameworks, and investment materials.
- Evaluate business performance, growth potential, and transaction structuring considerations.
- Translate analysis into clear, actionable insights and recommendations for senior leadership and investors.
Due Diligence & Integration Support
- Lead cross-functional diligence efforts spanning finance, operations, legal, and other critical areas.
- Manage data flow and coordinate diligence workstreams through closing.
- Partner with integration teams to ensure a seamless transition and effective post-acquisition execution.
Strategic Collaboration
- Serve as a trusted advisor to the CEO and private equity sponsor on acquisition strategy and capital deployment
- Track market trends, competitive activity, and industry developments
- Contribute to broader strategic initiatives and ad hoc projects as needed
Qualifications
- Bachelor’s degree in Finance, Business, Economics, or a related discipline is required.
- 4–8 years of experience in investment banking, private equity, corporate development, or M&A advisory.
- Demonstrated experience leading or significantly contributing to buy-side transactions end-to-end.
- Prior exposure to professional services or fragmented, multi-location industries, such as insurance, wealth management, healthcare, or business services, is preferred.
- Advanced financial modeling, valuation, and analytical capabilities.
- Proven ability to manage multiple concurrent transactions in a dynamic environment.
- Strong interpersonal, communication, and negotiation skills with a relationship-driven approach.
- Self-motivated and execution-focused, with a proactive mindset.
- Experience coordinating third-party diligence providers, such as QoE and legal advisors.
Location & Travel
- Flexible or remote, with a preference for candidates located in or near the Southeast, such as Nashville or Atlanta.
- Moderate travel is required to support transactions and engage with prospective sellers.
