Position Overview
We are seeking a knowledgeable and experienced Corporate Transactional Attorney to join our legal team. The ideal candidate will have a strong background in securities law and corporate transactions, focusing on compliance with SEC regulations. This role aims to support our organization's legal needs in securities compliance and corporate governance, ensuring adherence to applicable laws and regulations.
Key Responsibilities
- Advise clients on a wide range of securities law matters, including compliance with SEC regulations.
- Draft and review corporate transactional documents, including 10-Q, 10-K, and other SEC filings.
- Conduct due diligence on corporate transactions and provide legal advice on potential risks and outcomes.
- Assist in the preparation and filing of regulatory documents with the SEC.
- Collaborate with internal teams to ensure compliance with corporate governance best practices.
- Stay updated on changes in securities laws and regulations that may impact the company's operations.
Qualifications
- Juris Doctor (JD) from an accredited law school.
- Barred in CA
- 4 years of experience as a corporate transactional attorney focused on securities law.
- Strong knowledge of SEC regulations, including requirements for 10-K and 10-Q filings.
- Excellent analytical, communication, and negotiation skills.
- Ability to work collaboratively in a team and manage multiple projects simultaneously.
