Associate Counsel – Private Equity

A leading global investment bank is seeking an experienced attorney to join its Legal team. This role is ideal for a collaborative legal professional who thrives in a fast-paced, client-focused environment and possesses exceptional drafting, negotiation, and advisory skills. The successful candidate will serve as a trusted legal advisor to the firm's private capital advisory and placement businesses, partnering closely with senior business leaders on a wide range of commercial, regulatory, and strategic matters.

Key Responsibilities

• Draft, review, negotiate, and advise on engagement letters and other client agreements supporting private capital raising mandates across private equity, private credit, hedge funds, real estate, infrastructure, and GP-led/LP-led secondary transactions.
• Structure and negotiate commercial arrangements while providing practical legal guidance on contractual terms, business risks, and regulatory considerations.
• Advise business teams on legal issues relating to capital raising activities, including securities law exemptions, cross-border fundraising regulations, fund marketing requirements, and related regulatory filings.
• Partner directly with clients and external counsel to resolve legal, regulatory, and commercial matters throughout the engagement lifecycle.
• Provide guidance on conflicts of interest, fiduciary considerations, and other regulatory obligations applicable to investment banking and placement agent activities.
• Advise management on evolving legal and regulatory developments affecting private capital markets and ensure alignment with internal policies and procedures.
• Review and negotiate non-disclosure agreements, vendor contracts, and other commercial agreements supporting corporate and business initiatives.
• Collaborate with Compliance, Risk, and other control functions on matters involving shared legal and regulatory responsibilities.
• Support strategic initiatives and special projects across the firm's investment banking, restructuring, and advisory businesses as needed.
