Investment Funds Associate (Private Equity Fund Formation)

Direct Counsel is seeking an Investment Funds Associate to join a highly regarded Private Equity Fund Formation practice in New York. This is an exceptional opportunity for an attorney looking to work directly with leading investment funds practitioners on sophisticated sponsor-side fund formation matters while gaining meaningful client exposure and hands-on responsibility.

The ideal candidate will have experience in private investment funds and a strong interest in advising private equity sponsors on fund formation, structuring, and ongoing operational matters.

Responsibilities

• Advise private equity sponsors on the formation, structuring, and operation of investment funds
• Assist with:
  • Private equity fund formations
  • Fund structuring and governance matters
  • Sponsor-side investment fund transactions
  • Fund documentation and negotiations
  • Regulatory and compliance considerations
• Draft and negotiate fund formation and operational documents
• Counsel sponsors on fundraising, investor relations, and ongoing fund matters
• Work directly with clients on complex and cutting-edge investment fund issues
• Collaborate with attorneys across tax, regulatory, private equity, and corporate practice groups
• Support all stages of fund formation and ongoing fund operations

Qualifications

• J.D. from an accredited law school
• Law school class years 2018–2021
• Experience with private investment funds and fund formation matters
• Strong drafting and negotiation skills
• Excellent analytical and problem-solving abilities
• Outstanding written and oral communication skills
• Ability to manage sophisticated matters in a fast-paced environment
• Strong attention to detail and project management skills
• Outstanding academic credentials

Compensation & Benefits

• Salary range: $310,000 – $420,000
• Compensation based on experience, qualifications, and other operational considerations
