Direct Counsel is seeking a Fund Formation Career Associate Attorney to join a prestigious Am Law firm in Wheeling, West Virginia. Remote work is available for candidates based in the Pittsburgh, Pennsylvania area.
This is a unique opportunity for an attorney with 1-2 years of transactional experience to join a nationally recognized Fund Formation practice. This is a long-term, non-partnership-track Career Associate position designed for attorneys seeking sophisticated transactional work, mentorship, professional development, and a sustainable work-life balance within a leading global law firm.
ResponsibilitiesAssist with the formation of private investment funds, including venture capital, growth equity, impact, and crossover funds.
Draft and review limited partnership agreements, private placement memoranda, subscription agreements, side letters, and related fund documentation.
Support both sponsor-side and investor-side fund formation representations.
Assist with regulatory compliance matters related to private investment funds.
Work on co-investment vehicles, secondary transactions, and other fund-related matters.
Conduct legal research and assist with transactional due diligence.
Collaborate closely with partners and senior attorneys on sophisticated fund formation transactions.
Develop a strong understanding of private investment fund structures and the broader venture capital ecosystem.
J.D. from an ABA-accredited law school.
Active membership in the West Virginia or Pennsylvania Bar, or eligibility for prompt admission.
1-2 years of transactional legal experience.
Prior experience through a law firm, clerkship, internship, legal clinic, or other transactional practice is preferred.
Interest or coursework in securities regulation, investment management, corporate law, or partnership taxation is highly desirable.
Strong academic credentials.
Excellent legal writing, communication, analytical, and organizational skills.
Exceptional attention to detail.
Demonstrated interest in developing a long-term career in private fund formation.
Ability to thrive in a collaborative, team-oriented environment.
Salary: $130,000-$160,000, commensurate with experience and qualifications.
