What You Will Be Doing:

As the Contract Specialist you will work closely with the General Counsel to oversee the company’s contractual relationships. You will be responsible for negotiating and drafting a broad range of commercial contracts relating to the company’s customers, suppliers, and other business partners. Additionally, you will play a key role in supporting the company’s overall contract strategy, including assisting the General Counsel to develop and implement improved contract templates, workflows, and processes, contract management systems, and contract data and reporting.

Primary Responsibilities:
  • Negotiate, draft, prepare, and administer commercial contracts relating to the company’s customers, suppliers, and other business partners, including sales agreements, purchase agreements, rental agreements, service agreements, software license agreements, distribution agreements, and non-disclosure agreements.
  • Review and interpret contractual terms and conditions and provide analysis and recommendations regarding relevant contractual rights, obligations, risks, and benefits to General Counsel and business units.
  • Work closely with General Counsel and business units to develop contract negotiation positions.
  • Draft and revise contract terms and conditions to protect company’s interests and implement business units’ goals.
  • Manage contract negotiations and related communications with opposing parties.
  • Orchestrate contract acquisition, execution, and fulfillment to ensure compliance with company policies, legal requirements, and customer/supplier requirements.
  • Research, create, and improve contract templates, workflows, and processes to help mitigate risk and drive operational efficiencies across the various business units.
  • Develop and manage enterprise contract management system.
  • Develop and manage data and reporting on company’s contracting activities.
  • Conduct transactional due diligence (e.g., researching vendors, products and services, and corporate filings).
Additional Responsibilities:
  • Participate in required safety program, and work in a safe manner
  • Additional duties as assigned by manager

Who We Are Looking For:

To be successful in this position, you should have strong business acumen and a comprehensive knowledge of the subject matter. You should have excellent written and verbal communication skills as well as strong attention to detail and strategic thinking skills. 

Education/Experience:
  • Bachelor’s degree, associate’s degree, technical certificate, or the equivalent combination of education and on-the-job training in the field of contract law
  • Formal paralegal education or training a plus
  • Formal contract negotiation education or training a plus
  • 5 years of experience as a contract specialist or similar role engaged in the applicable job responsibilities
