Waukesha Pearce Industries is Hiring a Contract Specialist (Corp) Near Houston, TX

Job purpose

The Contract Specialist is responsible for the negotiation of various types of agreements in support of company binding transactions, including the approval and authorization process, ensuring that company policies and procedures are adhered to. Additional responsibilities include assisting in drafting, updating, and maintaining standard contract forms, templates, and provisions; maintaining accurate contract files, record keeping as well as other duties as assigned.

Duties and responsibilities

  • Ability to independently interpret and negotiate contractual provisions of various types of Agreements, including but not limited to Master Agreements, Non-Disclosure/Confidential Agreements, Vendor Agreements, Subcontractor Agreements, Bids, Proposals and Leases.
  • Ability to review, redline, comment, and provide input of all proposed changes to various types of contractual provisions of agreements to meet the company’s risk profile, policies, and procedures.
  • Identify areas of contractual provisions risk exposure during the negotiation process with a focus on maximizing financial and operational performance, reducing company liability, and minimizing risk.
  • Administer contract review workflow, including the preparation of contract summaries to be routed to internal stakeholders for approval and execution.
  • Maintain electronic contract files, including all amendments, correspondence and any other relevant documents affecting the life cycle of the contract.
  • Organize and maintain contract files, reports and logs established by department procedures.
  • Perform and/or assist with various projects, tasks, and responsibilities as needed.

Qualifications

  • MUST have 10 years of experience in negotiations of complex commercial contract terms.
  • Profound ability with 10 years of experience to independently redline, propose contractual provisions, interpret, and negotiate complex commercial contract terms with external client’s legal and contract personnel.
  • Proficient in preparing contract/commercial risk assessments and delivery of contract briefings to internal executives and management.
  • Ability to work independently and on a team project.
  • Ability to manage multiple contract reviews and negotiations with concurrent aggressive schedules and deadlines.
  • Moderate to Advanced skills in MS Office Suite (Word, Excel, Access, Outlook, and PowerPoint)

  • Must conform to company policies, procedures and meet goals and objective set by company
