United Growth Group is looking to employ a seasoned Paralegal. This individual will be responsible for providing day-to-day paralegal support, under the direction of the General Counsel regarding business and legal issues with different levels of complexity including, but not limited to, drafting, reviewing, processing, revising, tracking, and filing of agreements as well as providing assistance with corporate governance, research, compliance, special projects and performing other operational assignments for the Company and its subsidiaries. This role is critical to the future success of the business.

Responsibilities:

  • Develop legal documents that require minimum independent drafting (mostly by utilizing company approved templates or modifying same), processing, revising, tracking, and filing agreements; including, but not limited to, license agreements, development agreements, management agreements, professional service agreements, technology and system agreements, purchase and sale agreements, non-disclosure agreements, and vendor agreements, among others. 

  • Develop high effort legal documents that require significant independent drafting (either creating such agreements from conception or by utilizing company-approved templates), reviewing vendor agreements, processing, revising, tracking, and filing agreements. 

  • Draft operating agreements, corporate consents, resolutions and other corporate documents. 

  • Assist General Counsel in periodic review of processes and law to ensure continued compliance 

  • Conduct basic, intermediate, and advanced legal, regulatory, and business-related research for in-house counsel as needed. 

  • Ensure priority and rush assignments are handled effectively and efficiently. 

  • Track status of assignments, tasks and projects and follow up as needed. 

  • Consistent communication during review process of the status of assignments to in-house counsel and vendors to keep them informed. 

  • Obtain and maintain advanced contract drafting knowledge. 

  • Provide basic and intermediate legal and/or business opinions to in-house counsel related to assigned requests. 

  • Act as liaison for the General Counsel and the organization by managing communications and participating in regularly scheduled status meetings as directed 

  • Perform other duties as assigned 

Requirements:

  • Bachelor's degree or Paralegal certificate 

  • 5 years corporate contracts or commercial legal experience

  • Experience drafting transaction documents 

  • Ability to coordinate directly with staff members and outside parties while managing business relationships 

  • Experience reviewing and performing M&A due diligence tasks 

  • Exceptional organizational skills and attention to detail 

  • Clear, informative, and accurate communication skills, both verbal and written 

  • Ability to multitask and prioritize assignments in a high paced environment 

  • Continuous improvement mindset and ability to work autonomously, as well as excellent situational judgement 

  • Microsoft Office proficient
