Job Summary
The Office of General Counsel (OGC) provides legal services and support to the Board of Trustees, the President, and the senior administrators for Tuskegee University (TU). Under the leadership of the General Counsel, the OGC is responsible for providing legal counsel to TU.
The legal practice of the OGC involves a substantial array of topics, including public procurement, governance, and ethics, legislation, capital construction, employee grievances, arbitration, litigation oversight (a compliment of law firms defends litigation brought against TU), student affairs, and the use of real property, among others. The OGC represents TU in interactions with State officials who may regulate the affairs of TU, including the Attorney General, the Governor and staff and members of the State Legislature and staff as well as other state and local agencies and entities.
The Tuskegee University (TU) Office of General Counsel (OGC) invites applications for the position of Assistant Counsel. The successful candidate will competently and comprehensively provide clients with legal services primarily pertaining to contracts. Other areas of legal services include real estate, business transactions, Title IX, Freedom of Information laws, employment law, and other complex and emerging issues affecting this private university. The Assistant Counsel will report to the Tuskegee University General Counsel. In addition, the Assistant Counsel will interface with campus clients and other OGC colleagues across TU to coordinate the delivery of consistent legal services, including participation in OGC staff meetings and trainings.
Essential Job Duties
The candidate will be expected to handle and oversee a broad range of assignments such as:
Draft, negotiate, review documents, and provide advice on a wide variety of matters, including:
  • Purchase of goods and services, construction, affiliation agreements, and business transactions
  • Easements, rights-of-way, leases, real estate, and land use transactions
  • Purchase and sale agreements and public-private partnerships
  • Memoranda of understanding between TU, other local and state agencies, external entities, and different university business units and programs
  • Review proposed transactions, licenses, contracts, and other agreements to assure compliance with federal and state law, particularly Alabama state laws and applicable TU policies.
  • Act as a liaison with external law firms on litigation involving contracts, real estate, and employment matters
  • Advise and provide guidance to Tuskegee University’s procurement staff on complex contracts and agreements, insurance, and risk management issues
  • Develop and revise standardized contract templates, in collaboration with other OGC attorneys, and tools to assist TU’s clients
  • Interpret local, state, and federal laws and regulations as they apply to Tuskegee University activities, especially on transactional and business matters
  • Advise and aid in the development of TU policies and provide training related to transactional and business matters
  • Support and contribute to TU’s diversity, equity, and inclusion commitment
  • Additional responsibilities may include an extensive range of legal matters, including labor and employment, student affairs and residential life, representing TU in administrative proceedings with US Equal Employment Opportunity Commission (EEOC) and US Department of Education Office for Civil Rights (OCR), and other state and federal agencies, statutory and regulatory interpretation; drafting legal guidance; answering legal inquiries from campus clients; and performing special projects as well as other duties as may be assigned; and, the candidate should have excellent communication skills in working with clients, witnesses, and administrative law judges
  • Perform other duties as assigned
Qualifications (Education, Experience and Specialized Training)
  • Doctor of Jurisprudence or Juris Doctor degree (or foreign equivalent). Visa Sponsorship is unavailable for this position
  • Admission to the Alabama State Bar in good standing (or eligibility for of Counsel Status upon hire) and a strong academic background
  • Experience advising clients, drafting, reviewing, and negotiating contracts
  • A minimum of three (3) years of continuous and recent legal experience in contract law
  • Advise clients with complex contract and real estate issues and IT licensing agreements
  • Legal experience working in higher education and/or government law
  • Strong litigation and/or significant complex administrative hearing experience
  • Independent complex case management experience
Physical Demands
  • Able to lift various materials up to 25 pounds on an occasional basis
  • Able to bend, crouch, and reach continuously
  • Physically able to remain seated, frequently to continuously
  • Able to remain standing up to 15% of the time
  • Possesses dexterity abilities required to perform job duties, including extensive keyboard work, operating office equipment, performing filing, and other job-related responsibilities, including extensive wrist and hand movement
