Description:

The Practical Law business within Thomson Reuters is looking for a temporary contractor with substantial experience in private funds, especially private fund formation experience including drafting and negotiation fund documentation (limited partnership agreements, subscription agreements, advisory agreements, placement agreements). Understanding of the Investment Advisers Act of 1940 and other federal securities laws, including Regulation D offering requirements, and exemptions to the Investment Company Act is essential. Experience with fund raises, including investor negotiation (including side letter negotiation and reviewing subscription documentation) and investment management is optimal.

Remote work from 20-40 hours per week. (Requires Windows-based computer and high speed internet)

Responsibilities:

Practical Law is looking for a temporary private equity funds specialist contractor to work on documents to publish with our online services. The specialist contractor will:

Write, edit, and update private fund formation and investment management resources in accordance with Practical Law writing style, including practice notes, checklists and standard documents explaining how to document fund formation and legal trends and updates in private funds regulations.

Be available to answer questions and perform research on discrete private funds regulatory issues ('40 Act and other SEC rules governing private funds) that arise in Practical Law's final review of these resources.

Requirements:

Candidates must have the following skills and experience:

At least six years experience working as a private funds attorney in a law firm, and strong familiarity with the Investment Advisers Act of 1940 and other SEC rules governing private funds.

Ability to perform complex legal analysis.

A good understanding of the general legal market in the private funds space.

Strong communication skills and ability to collaborate effectively with remote colleagues.

Strong work ethic and ability to meet deadlines.

A passion for writing and good editing skills, including:

• close attention to detail and organization;
• impressive command of grammar, punctuation, and plain English; and
• the ability to write about complex legal issues clearly and simply.

The ability to be self-sufficient within a paperless environment, including proficiency navigating workplace intranets, using MS Office suite, and learning in-house publishing systems without administrative staff support.

Ideal candidates will also have the following attributes: Editorial experience on a law review or journal or with other news media.

Published works on private funds topics, such as bar association journal articles.

Experience writing and presenting on private funds topics for continuing legal education.

Candidates may be required to write on a specified topic.
