POSITION DETAILS
Reporting to the Corporate Secretary, the Corporate Paralegal will support the Legal Corporate Secretary Function including corporate governance, compliance posture, and corporate/transactional activities.
Daily activities may include managing corporate governance and compliance posture of Grainger’s 30 international subsidiaries, serving as the primary relationship contact to different functions within the organization, local teams globally, and our third-party legal services providers, assisting with corporate/transactional research; drafting intercompany agreements, corporate resolutions, minutes, and other legal documents to support tax, treasury, finance, accounting, and corporate development; manage important corporate information including corporate M&A and financing due diligence and communicate legal issues and information to Company managers and employees outside of the Legal Department.
You will also support our parent entity’s Board meeting and planning process working with other Assistant General Counsel, the SEC Paralegal, and outside counsel regarding public securities and SEC-focused activities.
YOU WILL
Support parent entity’s Board meetings and departments by helping prepare Board materials
Manage third-party service provider(s) and outside local counsel on legal entity matters for our 30 international subsidiaries
Support drafting of multiple corporate documents, including minutes, resolutions, intercompany agreements, certificates, notices, and letters for our tax, treasury, and other departments
Help prepare and maintain relevant regulatory filings, including Securities and Exchange Commission (SEC) filings
Help organize legal entity management structure
Collaborate with legal, tax, treasury, accounting, and corporate development to support legal entity formation, merger, or dissolution processes
Maintain, update, and organize entity records (using Grainger’s entity management software)
Stay current on best practices in entity management, and develop templates, plans, and processes
Support communication and processing of entity data with multiple external and internal sources (e.g. treasury, tax, and accounting)
Conduct legal research on multiple legal issues
Manage and follow the budget for annual global legal entity management compliance, including generating quarterly status and analysis of external provider accounts
Contribute to the coordination of corporate documents and reporting for international treasury and tax funding projects
Provide support to Company attorneys in connection with special projects as directed by the Office of the Corporate Secretary
YOU HAVE
3 years of experience in a global legal department or law firm
Paralegal certificate
Understanding of multicultural clients and international laws while ensuring global compliance under a US-centric compliance structure
Worked as a member of a team and collaborated with all Legal Department team members and other areas of the business
Conducted legal research on Lexis-Nexis, Westlaw, on the Internet, and other legal research tools
Proficiency in Excel (can maintain complex spreadsheets) and experience with Legal Entity Management, eBilling, and matter management software
Acquired an in-depth understanding of our company including business operations and organizational structure
