The candidate shall be a motivated commercial lawyer and be able to translate his/her knowledge of transactions into actionable advice and the management of effective legal processes. While working at TBC Capital, the successful candidate will work closely with TBC Capital’s business-lines, TBC Bank’s legal team, external lawyers and regulators. Furthermore, Senior Legal Counsel shall take an active role in the capital market development of Georgia by initiating and active participation in discussion with regulator and other market participants.QualificationsYour responsibilities:Assist the whole process to execute M&A, leveraged buyouts, carve-outs & divestitures, public and private capital raising;Arrange syndicated facilities, set up an asset management company and develop complex product offerings;Actively participate in new product development, structure and ensure compliance with applicable laws;Act as lead transaction counsel on deals, manage transaction negotiation, revision and execution of the full range of deal documentation;Manage external deal counsel, in conjunction with the investment team and work closely with compliance department, tax and transaction teams during execution of the transaction;Perform in-depth research on specific points of law pertinent to the company and anticipate and protect the company against legal risks;Actively negotiate with market participants and regulators, research global best practices and initiate new rules to help the market develop;Draft, develop and review contract templates, bespoke agreements and a variety of other legal documentation of the company as required;Demonstrate initiative, provide assistance, work alongside with the relevant business-lines.We think that below mentioned skills and experience will make your job easier and more enjoyable at our office:At least 3 years’ of relevant experience, preferably from a reputable law firm or financial institution, with a proven background in corporate law, civil law, securities market law and experience in capital markets’ transactions;An LLM Degree and experience in M&A, capital market, IFI funding transactions and syndications will be an advantage;Intelligent, bright, open-minded, conceptual thinker with the ability to quickly assess a situation and generate new insights and usable ideas;Excellent verbal and written communication skills in English and Georgian languages;Strong presentation skills, ability to articulate clear ideas/strategies;Detail-oriented, energetic, ability to manage projects and work independently;Ability to work accurately under pressure, exercise good business judgment and handle deadlines.Our responsibilities:To make you feel empowered;To encourage you explore new horizons;To motivate you to solve complex challenges;Make your life more interesting.Additional InformationPlease be informed that JSC "TBC Bank" processes the personal data of the candidate in order to determine the eligibility of the candidate for the vacancy, in accordance with the requirements of the Law of Georgia on Personal Data Protection.
