Junior In-House Counsel

Position Type: Full-time, Exempt, Salary

Reports to: Chief of Staff

Supervisory Responsibility: None

Location: Jacksonville, FL

Summary Objective

The Junior In-House Counsel will be responsible for reviewing, managing and negotiating contracts as well as advising and supporting on all risk and other legal matters within Stellar Energy.

Essential Functions:

  • Review, interpret, negotiate and provide counsel regarding contractual obligations and requirements of applicable law and regulations. The types of contracts will include, but will not be limited to , Master Purchase, Master Service, commercial Agreements, EPC agreements, MOU’s, LOI’s, and NDA’s.
  • Design, evaluate and update terms and conditions of internal templates used.
  • Support responses to professional liability, commercial insurance and worker compensation claims
  • Monitor and maintain awareness of pending and existing legislation, regulations and developments that are relevant to our industry.
  • Prepares and reviews various legal instruments and documents, such as contracts, leases, licenses, purchases, sales, real estate, etc.
  • Examines material, such as advertisements, publications, etc., for legal implications, advising officials of proposed legislation that might affect the organization.
  • Interprets laws, rulings, and regulations for individuals and businesses.
  • Advises concerning transactions of business involving internal affairs, stockholders, directors, officers, and corporate relations with general public.
  • May act as agent of the organization in various transactions.
  • May confer with colleagues with specialty in areas of law to establish and verify basis for legal personnel.
  • May prepare business contacts, pay taxes, settle labor disputes, and administer other legal matters.
  • Prepares for ISO 9001 and other audits.

Work Environment

This job generally operates in a professional office environment. This role routinely uses standard office equipment such as computers, phones, and photocopiers. The employee is occasionally exposed to a variety of extreme conditions at fabrication shops and job sites.

Job safety needs to be considered the top priority at all times.


Physical Demands

The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job.

This is largely a sedentary role; however, some filing is required. This would require the ability to lift files, open filing cabinets and bend or stand as necessary. The employee must occasionally lift or move up to 25 pounds.


Expected Hours of Work

This is a full-time position. First shift days and hours of work are Monday through Friday, 8:00 a.m. to 5:00 p.m. Occasional evening and weekend work may be required as job duties demand.


Travel

No travel is expected for this position.


Required Education and Experience

  • Requires JD degree and admission to the Bar and at least 2 years of experience practicing law preferably with exposure to the engineering or industrial or commercial construction side of the law.
  • Proficiency with Microsoft Office suite.
