Sempra Services Corporation is Hiring a Deputy Chief Compliance Officer Near Houston, TX

Primary Purpose
As the Deputy Chief Compliance Officer, this position will serve as a senior leader within the compliance function, supporting the Chief Compliance Officer in overseeing compliance activities for an organization operating in the United States and Mexico and interacting with businesses in other countries. Assist in developing, implementing, and managing compliance programs, ensuring adherence to legal and regulatory requirements, industry standards, and internal policies. This position will involve collaborating with various stakeholders, providing guidance to compliance teams, and driving a culture of compliance throughout the organization. This position reports to the Chief Legal Officer/Chief Compliance Officer.
Duties and Responsibilities

  • Compliance Program Development:
    • Assist the Chief Legal Officer/ Chief Compliance Officer in designing and maintaining a comprehensive compliance program aligned with legal and regulatory frameworks, industry best practices, and organizational goals.
    • Contribute to the development of policies, procedures, and standards to promote ethical behavior and mitigate compliance risks.
    • Contribute to a culture of compliance and continuous improvement on compliance issues.
    • Coordinate with compliance programs and activities of parent company, affiliates, and joint ventures.
  • Regulatory Compliance:
    • Stay updated on changes in laws and regulations impacting the organization's operations in the United States and Mexico.
    • Support the implementation of controls and processes to ensure compliance with applicable laws, rules, and regulations.
    • Contribute to the dissemination of regulatory updates to relevant stakeholders and collaborate with teams to address compliance requirements.
  • Risk Assessment and Mitigation:
    • Support the Chief Compliance Officer and the Risk team in risk assessments to identify compliance vulnerabilities.
    • Assist in developing strategies to mitigate risks and implement risk control measures within the compliance management system and support the Risk group in their endeavors associated with mitigation and management strategies.
    • Collaborate with relevant departments to integrate risk management practices and foster a culture of compliance within the organization.
  • Compliance Monitoring and Reporting:
    • Aid in establishing monitoring systems to identify and evaluate compliance issues.
    • Assist in internal audits and investigations, and conduct assessments to ensure compliance with established policies and procedures, working closely with corporate stakeholders.
    • Contribute to the preparation of comprehensive reports on compliance activities, findings, and recommendations for senior management and the board of directors.
    • Develop the compliance management system and lead in adopting management and technological methods to improve monitoring and reporting.
  • Training and Awareness:
    • Support the development and delivery of compliance training programs to educate employees on compliance requirements, policies, and procedures.
    • Assist in promoting a strong culture of compliance by raising awareness and providing guidance on ethical conduct.
    • Collaborate with teams to monitor and evaluate the effectiveness of training initiatives with Sempra Infrastructure and assure that training is regularly scheduled, updated to incorporate best practices, and reaches all employees.
    • Implement a risk-based system for assuring that personnel managing and working on higher-risk projects receive additional targeted training.
  • Internal Collaboration:
    • Collaborate with various departments, including Sempra Legal, SI finance, human resources, and operations, to ensure compliance integration across the organization including other dimensions of compliance that do not directly report to the Deputy Compliance Officer.
    • Provide guidance and support to business units on compliance matters and participate in cross-functional initiatives to address compliance challenges.
    • Support the creation of a SI compliance round table and host such meetings when the Chief Compliance Officer cannot attend.
    • Develop a compliance culture that invites inquiries from business lines, breaks down silos, and provides practical advice.
  • External Relationships:
    • Assist in serving as a liaison with external regulatory agencies, industry organizations, and others as may be required.
    • Stay informed about regulatory developments and contribute to proactive engagement with relevant stakeholders to address compliance concerns, provide requested information, and maintain positive relationships.

  • Mexican Regulatory Compliance:
    • Develop and oversee a team in Mexico so as to stay updated on Mexican laws, regulations, and industry-specific compliance requirements relevant to the organization's operations. This includes areas such as labor laws, taxation, import/export regulations, anti-corruption laws, and industry-specific regulations. Ensure that Mexico compliance activities are fully integrated into the company's overall and US compliance, while ensuring adherence to local laws and regulations.
  • Anti-Corruption Compliance:
    • Understand and comply with US and Mexican anti-corruption laws.
    • Implement and oversee anti-corruption policies and procedures in accordance with US, European and Mexican regulations.
  • Experience understanding and advising on antitrust related matters that may arise in commercial settings in energy industry. Integrate compliance with federal and state competition laws into company's overall compliance risk management approach and safeguards.
  • Direct outside counsel and consultants in providing efficient support on SI projects and maintain connections with legal, compliance, and industry organizations to facilitate SI's identifying and retaining the best and most cost-effective vendors on compliance and investigative issues.
  • Oversee and advise on matters related to sanctions, company policies and procedures, and related regulations and is expected to work closely with Sempra legal/compliance team to ensure support to SI. The successful candidate will coordinate with other members of SI compliance including environmental compliance, HSE and energy market regulations, cybersecurity/data privacy, etc. In addition, the candidate will have business or commercial legal experience with a sharp understanding of energy transactions and working in a large energy company.
  • Perform other duties as assigned (no more than 5% of duties).

Education

  • JD (Juris Doctor) degree from an accredited law school and active bar membership and good standing in the Texas bar, or US state bar, with substantial years of experience as a licensed attorney in good standing required.

Experience

  • 8-10 years of extensive experience in compliance, risk management, or related fields, preferably in a leadership role required.
  • Strong knowledge of relevant laws, regulations, and industry standards required.
  • Excellent understanding of compliance program development, maturation and implementation required.
  • Experience working with regulatory authorities and navigating compliance challenges specific to the United States and Mexican energy infrastructure market required.
  • Familiarity with Mexican corporate governance practices and compliance standards required.
  • Strong leadership and management abilities to oversee a compliance team required.
  • Experience in commercial litigation a plus.

Knowledge, Skills and Abilities

  • Proven experience in conducting risk assessments and implementing risk management strategies.
  • Exceptional analytical and problem-solving skills.
  • Excellent communication and interpersonal skills to collaborate with stakeholders at all levels.
  • Integrity, ethical behavior, and a commitment to promoting a culture of compliance.
  • A leader with in-depth knowledge of energy industry, and knowledge of basic environmental, safety, and market-specific compliance requirements. Familiarity with energy market dynamics, including regulatory bodies, market participants, and trading practices.
  • Understanding of the unique compliance challenges associated with emerging energy technologies, such as energy storage and infrastructure.
  • Familiarity with Mexican corporate governance practices and compliance standards.
  • Fluency in English, both written and spoken, to effectively communicate and collaborate with stakeholders in Mexico and the United States. Ability to speak Spanish a plus.
  • Experience working with regulatory authorities and navigating compliance challenges specific to the United States and Mexican energy infrastructure market.
  • Knowledge of data privacy laws and regulations, antitrust laws, cyber security.

Licenses and Certifications

  • Licensed and admitted to practice law in a US jurisdiction. California admitted candidates are strongly preferred but exceptional candidates admitted elsewhere in the US will be considered.
HYBRID: Work a combination of onsite and remote days each week, typically 2-3 days per week.
