Job Description

JOB SUMMARY: The RVR M&A team seeks a collaborative and adaptive Corporate Paralegal M&A with solid strategic thinking and a high level of initiative to support the M&A team as we support our clients in all stages of the M&A lifecycle. The role will include working closely with other members of our M&A team, various senior leaders from across RVR Consulting, and buyer targets, creating value for clients undergoing a merger or acquisition. What You'll Do: * Work collaboratively with internal and external partners, as well as buyer targets, to help facilitate due diligence and related M&A processes * Prepare, review, revise, and maintain a database of templates for essential deal documents, including checklists and confidentiality non-disclosure agreements * Manage document review process, including preparing comparisons; collecting, tracking, and reviewing comments; following up on internal feedback; and incorporating changes and revisions as applicable * Work closely with other members of the M&A team, leading internal coordination of deal execution, including tracking progress, coordinating signature pages, and maintaining the database of closing files and post-closing covenants * Communicate both orally and in writing, including memorandums, letters, e-mails, and other correspondence with clients, partners, internal staff, external counsel, and other relevant stakeholders * Assist with legal workstreams including contract negotiations and documentation * Create and manage data room and communication of information to relevant parties * Prepare presentations and other materials for senior management and clients * Coordinate distribution of executed documents * Identify and research potential buyer opportunities using a range of tools and data sources * Manage acquisition pipeline and other M&A reporting tools * Maintain and circulate M&A Activity Report * Maintain close working relationship with client team throughout transaction process * Assist with organization and maintenance of M&A library materials * Manage signature collection process * Conduct on-going research relating to current M&A trends and practices * Attend to any post-closing tasks What You'll Get * Competitive Salary * Health,Dental, Vision * 401k * PTO QUALIFICATIONS: * Entrepreneurial mindset with the ability to work in a fast-paced environment * Exceptional verbal and written communication skills with excellent attention to detail * Excellent technical, writing, analytic, and research skills * Adaptive to unstructured projects and timelines * Project management experience * Demonstrates strong technical skills (Word, Excel, PowerPoint, and general database websites and systems) * Able to preserve confidentiality and exercise discretion * Able to manage multiple projects with competing deadlines and priorities * Proficiency with Microsoft Office products (Word, PowerPoint, and Excel) * Demonstrates strong technical skills with the ability to grasp general database websites and systems quickly * Finance experience/understanding * Transaction experience in mergers & acquisitions or paralegal experience in a corporate legal department or law firm EDUCATION AND EXPERIENCE: * Associates or Bachelor's Degree in legal assisting or paralegal studies preferred * NALA CP Certification a plus * 3-5 years of relevant work experience, with 1 year in transaction services / M&A experience
