Job Description:

RM Management Group, a dynamic and rapidly growing company based in Melbourne, FL, is seeking a talented and experienced SEC Attorney to join our legal team. This role will be integral in providing legal counsel and guidance on various aspects of securities law, corporate finance, mergers and acquisitions, regulatory compliance, and agreement drafting. The ideal candidate will have a strong background in SEC regulations, market regulations, and corporate finance controls, with expertise in areas such as registration exemptions, private placements, and SEC filings.

Responsibilities:

Provide legal counsel and support on mergers and acquisitions, corporate finance transactions, and securities matters.

Draft, review, and negotiate a wide range of agreements, including contracts, securities offerings, and transactional documents.

Ensure compliance with SEC regulations, including filing requirements, disclosure obligations, and market regulations.

Advise on SEC compliance matters, registration exemptions, and private placements.

Implement and maintain corporate finance controls and procedures to ensure regulatory compliance.

Monitor and ensure social media compliance in accordance with SEC guidelines.

Oversee SEC filings and maintain familiarity with OTC Markets Group, Inc. filings and compliance requirements.

Requirements:

Juris Doctor (JD) degree from an accredited law school.

Admission to the bar in the state of Florida (active and in good standing).

Minimum of [X years] of relevant experience as an attorney specializing in securities law and corporate finance.

Strong understanding of SEC regulations, market regulations, and corporate governance principles.

Experience with mergers and acquisitions, securities offerings, and agreement drafting.

Excellent analytical, communication, and negotiation skills.

Ability to work independently and collaboratively in a fast-paced environment.

Familiarity with OTC Markets Group, Inc. filings and compliance is a plus.
