Associate Analyst / Analyst, Corporate Governance

Our office is located in Las Colinas, Texas. This position will have the following consideration:

Hybrid: Works regularly both Onsite (currently 3 days per week) and Remote.

Job Description:

The Analyst, Corporate Governance provides support to the Manager, Corporate Governance with the day-to-day operations of corporate governance matters related to the Resolute entities and the American Beacon Funds. Must be able to work well in a team setting as well as with outside counsel, vendors, and those outside of the legal and compliance department.

Key Responsibilities

Board Materials

• Assist with creation and distribution of Board books in Diligent Boards
• Monitor and update materials in the Diligent Resource Center
• Assist with post board meeting follow-up

Legal Filings / Regulations

• Assist with the initial and annual filing of state registrations
• Assist with the preparation and review of certain filings with the National Futures Association
• Assist with the gathering of relevant information for quarterly CPO/NFA PQR filings to provide to State Street
• Assist with filing of Certificates of Designation with the Commonwealth of Massachusetts
• Assist with Commonwealth of Massachusetts Report on Voluntary Associations

Corporate Governance Matters

• Assist with preparation and filing of corporate documents and records
• Assist with management of entity management system
• Assist with tracking corporate documents, officers and directors
• Assist with the completion of Know Your Customer documentation and Due Diligence Questionnaires

Annual Trustee Questionnaires

• Assist with review and follow-up related to questionnaire responses

Annual 15(c) Process - Annual Renewal Process of Sub-Advisory Agreements

• Assist with internal disclosure review on a quarterly basis
• Assist with guiding the internal review process of subadvisor responses with outside counsel

Miscellaneous

• Assist with Special Projects, as needed
• Assist with AML Audit

Requirements

• Bachelor's degree or related work experience within financial services or a related industry is a plus
• 2 years of prior experience in corporate governance is a plus
• Ability to use board and/or entity management software such as Diligent Boards or Diligent Entities is a plus
• Ability to multi-task, work under pressure and meet deadlines is required
• Strong work ethic with proactive mindset, self-motivated and detail orientation
• Strong verbal and written communication skills required
• Proficient with Microsoft Word, PowerPoint, and Excel
