Overview
Summary Primary role is to assist in reviewing contracts prior to signature, track contract compliance, handle contract renewals and terminations, working directly with Business Unit Managers. Secondary role is to assist in various types of legal matters, including corporate governance and preparing legal documents; research and compile data; prepare drafts of documents; and maintain responsibility for entity records across the Premier Family of Companies. Third function is to serve as a backup to other department roles which include Government-issued and/or regulatory licenses, applications, and credentialing to ensure compliance. Job Type: Full-time with hybrid schedule: The Paralegal will have the opportunity to work remote 2 days a week (Monday or Friday) following completion of 90 day introductory period. Essential Duties and Responsibilities: - Handle the formation of new entities, including corporations, limited liability companies, partnerships, in all domestic states and corporate structures - Work with outside legal counsel in formation and corporate structure for USVI entities - Create entity documents, including articles or certificates of incorporation or organization, amendments, dissolutions, initial stock purchase agreements, operating agreements and amendments, and written consents - Prepare and file statutory filings with domestic Secretaries of State, including amendments,conversions, mergers, and dissolutions - Prepare and file Forms SS-4 with IRS to obtain Federal Employer Identification Numbers - File Fictitious Business Name Statements with appropriate government entities - Administer tracking system for contracts and other ongoing obligations - Contract drafting, development, maintenance, review, retention and termination - Monitor and manage contracts@chsamerica.com email inbox - Create, revise, publish and maintain organizational charts for U.S. and U.S.V.I. entities - Assist in due diligence for real estate transactions, mergers, acquisitions, corporate refinancing and restructuring deals - Prepare final closing binder and draft necessary documents for real estate transactions, mergers, acquisitions, corporate refinancing and restructuring deals - Participate in closings and post-closing activities, including: prepare initial draft of closing checklist, organize and maintain closing files, closing book index, written consents, approvals of transaction agreements, certificates and disclosure schedules; order certified copies and good standing certificates; handle distribution and collection of signature pages, agreements and original certificates (e.g. stock certificates, membership certificates and promissory notes); and provide other general support - Research new licensing requirements and objectives for new or expanding opportunities within the Family of Companies - Perform legal research for drafting legal documents and legal requirements for projects as needed - Respond to requests for information - Collaborate with other departments (e.g., Accounting, Human Resources, etc.) to obtain or provide information or to direct compliance issues to appropriate existing channels for investigation and resolution - Research unknown or new aspects of any business requirement - Assistance with filling gaps within the department where needed - Serve as a Notary Public - Special projects as assigned Other Responsibilities: - Adheres to the policies and procedures of Company - Maintains strict confidentiality of client, company and personnel information - Demonstrates a strong commitment to the mission and values of the organization - Adheres to company attendance standards - Performs other duties as assigned Supervisory Responsibilities: None Competencies: - Strong organizational, interpersonal and motivational skills - Excellent written and verbal communication skills - Detail oriented - High level of reasoning and analytical skills - Ability to multi-task and work independently - Sound judgment - Must be resourceful and self-reliantQualifications
Qualifications: - Blended xperieince in both litigation and transactions is REQUIRED - Minimum of 3-5 years of relevant experience as a corporate paralegal in the areas of corporate governance, venture capital finance, emerging growth companies and/or private company mergers and acquisitions. Understanding of various states' incorporation rules, corporate filing guidelines and required documentation for corporate matters, including business formation, dissolution, and mergers and acquisitions - Experience in the areas of real estate acquisition, leasing, management and disposition preferred - Excellent planning and organization skills, including the ability to manage several projects concurrently and strong attention to detail - Excellent communication and interpersonal skills; positive and driven attitude - Able to work well under pressure and maintain all deadlines, and be able to adapt to multiple, conflicting and/or shifting deadlines - A proactive approach and the ability to work "hands-on," as required - Able to work both independently and collaboratively - Comfortable interacting with attorneys, staff, clients and outside vendors Education and/or Experience: - Bachelor's Degree or Paralegal Certificate from ABA-approved paralegal program Certificates, Licenses, Registrations: Paralegal Certificate Computer Skills: Proficiency using software programs such as MS Word, ACCESS, PowerPoint, Excel and Outlook, Electronic Health Records. Environmental Factors/Physical Demands: Work is performed in an office and onsite facility care environment. While performing the duties of this job, the employee is regularly required to have the ability to maintain active customer and employee communication; access, input and retrieve information from the computer system; enter alpha-numeric data into a computerized system often while listening on the telephone.May be subject to repetitive motion such as typing, data entry and vision to monitor.
