Job Description

National law firm is seeking an experienced corporate transactional paralegal to work in their Chicago office!!

The ideal candidate for this position will have the following experience:

3 years of M&A experience
Draft and prepare documents‎ relating to formation of corporations, resolution of amendments, mergers and conversions and dissolutions.
Assist with various types of transactions, such as mergers and acquisitions, private equity and venture ‎capital investments; securities and public company deals‎.
Draft and prepare documents associated with Board of Directors / Officers & Directors dealings; securities filings; registration of companies with SEC; annual meeting consents and minutes.
Maintain, organize and calendar ongoing filings and fees associated with corporations, LLC’s and other business entities, including managing deadlines for filing of corporate annual reports and filing online reports with state filing systems and government agencies.
Draft and prepare entity resolutions, bylaws, and stock records.
Responsible for filing of EIN numbers.
BA/BS Degree Required
