Corporate Paralegal 

Location: Pittsburgh, PA

Job Classification: Exempt

Job Status: Fulltime, Hybrid/Remote

Reports to: Chief Legal Officer

 Purpose:

The Corporate Paralegal will play a crucial role in maintaining corporate records, drafting and reviewing legal documents, managing vendor agreements, and providing administrative support to the legal team. Under the direction of a licensed attorney, the Corporate Paralegal will be responsible for various legal tasks to ensure compliance with regulatory requirements and support the efficient operation of the legal department.

Responsibilities:

  • Drafts, reviews, updates, and maintains corporate records, including board and committee minutes, resolutions, and other corporate governance documents.
  • Assists in drafting legal correspondence, contracts amendments, non-compete agreements, and other legal documents under the supervision and direction of a licensed attorney.
  • Reviews vendor agreements and assists in negotiations as necessary to ensure compliance with company policies and legal requirements.
  • Files and maintains business entity registrations, ensuring compliance with state and federal regulations.
  • Completes and submits annual filings and reports to relevant regulatory agencies.
  • Provides administrative support for the contract signature process, including organizing and tracking contracts, obtaining necessary approvals, and maintaining contract files.
  • Manages and responds to record requests and subpoenas in a timely and efficient manner.
  • Assists in legal research and document management as needed.
  • Collaborates with other departments to ensure compliance with legal and regulatory requirements.
  • Stays informed about changes in laws and regulations relevant to corporate governance and compliance.

Required Qualifications:

  • Bachelor's degree in Paralegal Studies, Legal Studies, or related field.
  • Certificate in paralegal studies or equivalent work experience as a paralegal.
  • Minimum of 5 years of experience working as a corporate paralegal.
  • Strong knowledge of corporate governance principles and practices.
  • Proficiency in drafting legal documents, including contracts amendments, non-compete agreements, and legal correspondence.
  • Experience in reviewing and managing vendor agreements.
  • Excellent organizational skills with keen attention to detail.
  • Ability to prioritize tasks and manage multiple deadlines effectively.
  • Strong communication and interpersonal skills.
  • Proficiency in Microsoft Office Suite.
  • Ability to work independently as well as collaboratively within a team environment.

Work Environment:

This job operates in a professional office environment. When in-office this role routinely uses standard office equipment such as computers, phones, photocopiers, filing cabinets and fax machines, and communications via MS Teams.

The employee frequently is required to site; stand; walk; use hands and fingers, handle or feel; and reach with hands and arms and see a computer screen.
