Are you ready to make a significant impact utilizing your expertise as a Deputy General Counsel? I & S Group, Inc. (ISG) is seeking a Deputy General Counsel to join our dynamic Architecture Engineering firm in Minneapolis, MN. You will have the opportunity to showcase your advanced understanding of specialized practice areas and negotiate effectively across various business units.
The Deputy General Counsel plays an integral role within ISG’s legal department, acting as a senior legal advisor and a close collaborator with our General Counsel.
This position involves a wide range of legal activities, including but not limited to:
The individual in this role supports the General Counsel in the leadership and direction of the legal department, contributing to strategic decision-making processes and stepping in to lead in the General Counsel’s absence.
ESSENTIAL DUTIES
Provide legal advice and guidance to senior management and other departments on a wide range of legal matters, including corporate governance, compliance, and risk management
Draft, review, and negotiate complex contracts and agreements with clients, vendors, and partners to protect the organization’s legal and business interests
Manage litigation and disputes involving the organization
Coordinate with external counsel, as necessary
Develop, implement, and enforce policies and procedures to ensure the organization’s compliance with applicable laws, regulations, and ethical standards
Advise on employment law matters, including drafting employment agreements, managing employee disputes, and ensuring compliance with labor laws and regulations
Oversee intellectual property to protect the organization’s intellectual property rights (including patents, trademarks, copyrights, trade secrets and licenses)
Coordinate the legal aspects of mergers, acquisitions, divestitures, and other corporate transactions
Assist with due diligence, negotiations, and drafting of documents
Draft and review leases
