DHR Global is Hiring a Mergers and Acquisitions Director Near Chicago, IL

Qualifications

The new Director will have experience pursuing and closing acquisitions. They need to have a “hunter” mentality and someone who takes the initiative to “make things happen”.

Specific Responsibilities

• Follow through the entire M&A process from identification to successfully securing the new business and integrating them.

• Identify priority areas, and assess relevant market information including market size, market segmentation, growth rates, and target companies. Create investment hypotheses detailing the potential attractiveness of each area.

• Generate leads from a variety of sources/methods. Identify and source new investment opportunities through networking in the industry and researching industry news and data. Develop and maintain a CRM database of potential targets.

• Analyze emerging trends within the sector, adjacent sector, or geography to identify opportunities we can capitalize on. Maintain and evolve strategy for given areas of responsibility as well as opportunity pipeline for Senior Leadership Team review.

• Originate deal flow. Build positive relationships with owners and key executives of selected investment targets as well as other key influencers including investment bankers, business brokers, lawyers, and industry experts.

• Own the process of fully analyzing opportunities, evaluating financial attractiveness and strategic fit with the company, securing multifunctional feedback, leadership approval and preparing offers.

• Complete M&A Brief with relevant operating, asset, and contract information, financial analysis, and recommendations. Position Specification Director, Mergers & Acquisitions

• Build strong relationships with CFO and Finance team to develop detailed financial models and valuation analysis for potential transactions.

• Coordinate and implement due diligence for potential transactions, including market, product, customer, and competitor analysis, with a heavy emphasis on primary research; financial modeling; and transaction execution including legal, accounting, tax, and other functional due diligence.

• Actively contribute to the negotiation of transaction terms and legal documentation.

• Engage the Transition Team that will support the Diligence and Closing process, while remaining closely involved with this Team and the Seller/Broker that includes, but not limited to, a market/facility tour and the compilation of site vital information (sales, environmental, supply contracts, real estate and facilities assessment, etc.).

• Manage the creation of post-acquisition integration and performance plan.

• Ability to travel up to 50% of the time.

Key Selection Criteria

• 5- 10 years of business with direct/indirect transactional experience.

• Strong understanding of financial valuations, financial statements, and financing with modeling experience.

• Proven track record of leading and delivering acquisitions, building and maintaining equitable business relationships with internal and external customers.

• Demonstrated ability to understand and interpret legal language and implications to deal with structure.

• Must be able to manage Banking, Broker, and Seller relationships and matrixed teams.

• Investment Banking experience a plus.

• Bachelor’s degree in Finance, Economics, Marketing, Statistics, or related field; MBA or MA/MS a plus. Personal Attributes
