Humana is Hiring a Counsel - General Corporate and Mergers and Acquisitions Near Chicago, IL

Become a part of our caring community and help us put health firstHumana’s Law Department is seeking a Counsel to assist with mergers, acquisitions, joint ventures, and venture capital, with a specific focus on acquisitions across Humana’s portfolio of care delivery assets, including senior-focused primary care and home health. Transactions include acquisitions of public and private company targets, strategic joint ventures, and divestitures of selected assets.

The role will include end-to-end counseling to Corporate Development and business leaders across the transaction process including:

  • Drafting, negotiating and interpreting non-disclosure agreements (NDAs).

  • Advising on deal structuring and drafting letters of intent (LOIs).

  • Leading legal due diligence processes, coordinating with other legal partners, and communicating findings, risks and solutions to senior leadership.

  • Running deal processes and negotiating and drafting principal transaction documents.

  • Advising on post-closing integration and indemnification matters.

  • Managing outside counsel.

  • Maintaining operational excellence and efficiency in transaction process and execution.

The successful candidate will also have the opportunity to support Humana and its management on general corporate matters by: 

  • Assisting on legal and compliance matters relating to the Company’s corporate governance, including matters related to key strategic joint ventures.

  • Building and maintaining cross functional relationships with key business partners.

  • Partnering with treasury, finance and human resources groups to address transaction integration and licensure matters.

  • Counseling on matters related to the Company’s real estate portfolio.

  • Assisting with compensation and equity compliance matters.

  • Providing counsel on the ongoing business relationships between Humana and its strategic partners.


Use your skills to make an impact

Role Essentials:

  • J.D. Degree

  • Minimum of 3-6 years General Corporate and Transactional Legal as related to mergers & acquisitions. Securities law experience preferred but not required.

  • License to practice law in Kentucky, New York, or state of primary residence, or eligible for licensure through reciprocity.

  • Experience in a Law Firm or Corporate Legal Department.

  • This role requires a high degree of initiative, good judgment, and discretion.

  • Skilled facilitator with highly evolved organizational and communications skills.

  • Ability to work both independently and collaboratively as part of a larger team and will have worked with senior level staff and will be able to demonstrate professionalism.

  • Ability to work in complex organization with diverse clients at all levels of the company.

The compensation range below reflects a good faith estimate of starting base pay for full time (40 hours per week) employment at the time of posting. The pay range may be higher or lower based on geographic location and individual pay will vary based on demonstrated job related skills, knowledge, experience, education, certifications, etc.$136,200 - $187,400 per yearThis job is eligible for a bonus incentive plan. This incentive opportunity is based upon company and/or individual performance.
