IndyGo is Hiring an Associate Counsel - Contracts Near Indianapolis, IN

POSITION PURPOSE
The Associate Counsel - Contracts is responsible for legal review, oversight, advertisement, and representation in the corporation's daily business as directed by the Chief Legal Officer and as needed in all phases of federal, state, and local contracts. The Associate Counsel must be able to exercise sound legal and business judgment. This will be an onsite, in-person position. 
*The salary range is $75,000 - $85,000 annually, commensurate with education and experience.
ESSENTIAL FUNCTIONS AND RESPONSIBILITIES:

  • Provides the Chief Legal Officer, executive staff, management staff, and other company staff with quality and timely legal advice on a wide variety of matters. 
  • Directs execution of drafting and negotiating contracts as needed with appropriate company staff, vendors, and strategic partners.
  • Counsels senior management in the negotiation of contracts and other legal documents with third parties, including payers, joint ventures, professional staff, landlords, lessees, contracted services, vendors, and others, and working in conjunction with appropriate company staff.
  • Provides consistent, reliable, and timely legal assistance and support to the Chief Legal Officer.
  • Works with senior management to assess the company’s issues relating to the pursuit and performance of government contracts and grants, including with respect to federal and state procurement law and regulation and other compliance requirements for government contracts.
  • Structure, review, and negotiate complex government and commercial agreements, including government subcontracts and vendor agreements and other federal and state practice-related business agreements, as necessary.
  • Writes, reviews, and counsels the Chief Legal Officer on bylaws and other corporate documents; reviews these documents for changes in relevant case law, federal law, and state law and ensures the company and its subsidiaries function in compliance.
  • Efficiently manages government contract disputes and litigation, with the goal of expeditious and economical resolution of bid protests, equitable adjustments and claims, lawsuits, and regulatory matters, and conducting internal investigations.
  • Assists the Chief Legal Officer in conducting litigation instituted/defended by the corporation or its representatives, manages costs associated with any external litigation/arbitration, and assists the Chief Legal Officer in all litigation-related matters, including depositions, discovery conferences, motion practice, etc.
OTHER FUNCTIONS:
  • Provides legal review for company policies and procedures.
  • Reviews and advises on RFP documents for compliance with FTA procurement regulations.
  • Performs other duties as assigned.
EDUCATION AND/OR EXPERIENCE:
To perform this job successfully, an individual must have the following education and/or experience.
  • Juris Doctor degree or equivalent.
  • Three (3) to five (5) years of legal experience, preferably in the public sector, transactions, or transit. 
  • Current State of Indiana law licensure.

  • Strong written and verbal communication skills.
  • Strong presentation skills and the ability to communicate legal information and research to groups.
  • Ability to interact with various internal and external constituencies in person and through phone, e-mail, and written correspondence.
  • Ability to maintain strict confidentially of work performed.
  • Above average decision-making and problem-solving abilities, with the ability to see the broad view while also focusing on details.
  • Above-average mathematical abilities (i.e., addition, subtraction, multiplication, division, percentages, fractions, ratios, etc.).
  • Ability to monitor a budget and to track and control expenses and/or revenues.
  • Ability to prioritize, organize, and manage tasks and time effectively.
  • Business-focused and creative approach to problem-solving and the ability to efficiently manage a substantial number of issues and adjust priorities as circumstances dictate.
