Job Title: Contract Specialist

FLSA Status: Exempt Division & Department: iTech- Healthcare

Reports To: Sr. Vice President of Operations, Healthcare

Position Summary

Contract Specialist serves as an initial point of contact for many legal and compliance matters within the business unit focusing on the healthcare industry, providing day-to-day contract preparation, redlining and negotiating activities, counseling and issue identification and escalation to company legal counsel, as appropriate. Drafts, reviews, analyzes and negotiates contracts and provides guidance on contract positions to ensure successful completion or resolution, with escalation to legal counsel as necessary. Agreement types may include, without limitation, client contracts, HIPAA, HITECH and BAA agreements, business partner agreements, consulting services agreements and misc. Able to work independently and assess when to seek guidance of company legal counsel.

Duties/Responsibilities:

  • Drafting, reviewing, redlining, analyzing and negotiating contracts; identifying, analyzing, researching, and resolving legal and business process issues and making appropriate recommendations to management.
  • Identifying and analyzing risk, determining the level of risk and required escalations appropriately.
  • Consulting on legal and business provisions in contracts; Coordinating contract approval and enforcement of delegations of authority as needed.
  • Monitoring compliance with internal Company business and legal processes and policies that align within the healthcare industry.
  • Preparing contract summaries and/or issues lists to present to management for review, if applicable.
  • Demonstrating comprehensive understanding of Company business units (BUs), products, strategy, and operational model.
  • Recommending and implementing contracting policies, procedures and processes.
  • Coordinating with colleagues to identify regulatory issues, assess business impact risk and communicate same to senior management.
  • Exercising independent judgment in escalating issues and identifying when an escalation to company legal counsel is necessary.
  • Conduct legal research on relevant statutes, regulations and case law using various resources such as online databases, libraries, and other reference materials.
  • Draft materials as applicable for business agreements or compliance.
  • Organize and maintain contracts and other documents, ensuring they are accurately labeled, indexed and stored securely as applicable in Company electronic filing system.
  • Coordinate with management, clients and other parties to schedule meetings, review materials or provide information.
  • Assist and advise business managers on compliance information when needed.

Required Skills and Abilities


  • Excellent writing and verbal communication skills, with the ability to draft clear and concise legal documents and correspondence.
  • Ability to work effectively with business unit leaders and promote the reputation and integrity of Company.
  • Proficiency in Microsoft Office Suite and other relevant software applications.
  • Strong written and verbal communication skills; must be able to effectively communicate to all levels of staff up to executive management
  • Ability to work effectively both independently and as part of a team, managing multiple tasks and priorities simultaneously.
  • Professional demeanor with the ability to maintain confidentiality and discretion.
  • Highly organized with exceptional attention to detail and accuracy.

Education and Experience:

  • Basic professional knowledge; equivalent to a Bachelor's degree in Business Administration, Paralegal/Legal Studies, or a related field.
  • Certification as a paralegal preferred.
  • Knowledge and/or experience in Healthcare or a Technology related field preferred.
  • Proven experience working as a paralegal.
  • Strong proficiency in legal research methods and tools.
  • Strong interpersonal skills and the ability to interact professionally with clients, and other stakeholders.

Physical Requirements:

  • Prolonged periods sitting at a desk and working on a computer.
  • Must be able to lift up to 15 pounds at times.
