JOB SUMMARY
A publicly-traded corporation operating in the business services and technology sector, with a worldwide presence, is currently seeking an accomplished attorney to serve as its Associate General Counsel.
This individual should possess a strong background in corporate law gained from private practice or in-house legal work, ideally both, with demonstrated:
Key Responsibilities
Prepare, establish and revise corporate policies and standard form agreements
Partner with executive team to assess and implement crisis management, legal requirements and mitigate risk
Manage outside counsel, where appropriate
Stay up-to-date with relevant laws and regulations affecting the company's industry and operations and consistently support compliance.
Qualifications
Juris Doctor (JD) degree from an accredited law school
Deep experience with a broad range of securities law matters, including public company reporting rules, NASDAQ listing rules, the Sarbanes-Oxley Act, and preparation and review of SEC-compliant filings and disclosures, is required.
Experience with public debt and equity issuance.
Excellent written and verbal communication skills.
Ability to work collaboratively with cross-functional teams.
Proven ability to handle complex legal issues and provide clear, practical legal and strategic guidance.
Strong negotiation and contract drafting skills.
A talent for anticipating legal issues and assessing potential risks.
High proficiency in understanding business operations.
Demonstrated professionalism, ethics, and unwavering integrity.
Pay Disclosure:
"The pay range for this position starts at $185K annually; however, base pay offered may vary depending on job-related knowledge, skills, and experience. Bonus opportunities may be provided as part of the compensation package, in addition to a full range of medical, financial, and/or other benefits, dependent on the position offered.”
