The General Counsel will serve as the primary legal advisor to the organization, providing strategic guidance and oversight on all legal matters. Reporting directly to the CEO or President of the company, the General Counsel will play a crucial role in shaping the company's legal strategies, managing risk, and ensuring compliance with applicable laws and regulations.

Responsibilities:

  • Legal Strategy and Oversight: Develop and implement the company's overall legal strategy to support business objectives and growth. Provide expert legal advice and counsel to senior leadership on a broad range of legal issues, including corporate, commercial, intellectual property, privacy, and regulatory matters.
  • Corporate Governance: Provide guidance on corporate governance matters, including board meetings, corporate policies, and compliance with relevant regulations. Manage corporate governance documents, ensuring compliance with legal requirements.
  • Regulatory Compliance: Stay current with relevant industry regulations and laws impacting the mental health tech sector. Develop and maintain compliance programs to ensure adherence to applicable regulations and standards.
  • Intellectual Property: Manage the company's intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Advise on intellectual property protection strategies and potential infringement risks.
  • Litigation and Risk Management: Identify potential legal risks and develop strategies to mitigate them. Oversee litigation matters and work with external counsel as needed.
  • Privacy and Data Security: Provide guidance on data protection and privacy laws, ensuring compliance with data privacy regulations. Collaborate with relevant teams to implement and maintain robust data security practices.
  • Team Leadership and Collaboration: Advise the Quality and Compliance teams, fostering a collaborative and supportive work environment.Collaborate with cross-functional teams and executive team members to provide legal insights and support for various business initiatives.
  • Contract Management: Draft, review, and negotiate a variety of commercial agreements, including partnerships, collaborations, licensing agreements, and vendor contracts. Ensure contracts align with the company's goals and minimize legal risks.
Qualifications:
  • Juris Doctor (JD) degree from an accredited law school and active membership in good standing with the state bar association.
  • Minimum of 7-10 years of legal experience, with a combination of law firm and in-house experience preferred.
  • Strong background in technology, healthcare, healthcare IT, intellectual property, regulatory compliance, and experience with Professional Corporation structures in medical and healthcare contexts.
  • Experience with insurance qualifications, including knowledge of insurance laws and regulations, risk assessment, policy and contract reviews, and a proven track record of successfully managing insurance-related legal matters, negotiating insurance contracts, and claims resolution. 
  • Proven experience managing and leading legal and risk and compliance teams.
  • Excellent communication, negotiation, and interpersonal skills.
  • Ability to work in a fast-paced, dynamic environment and adapt to evolving business needs.
  • Demonstrated strategic thinking and problem-solving abilities.
  • Preferred experience in litigation and mediation 
  • Preferred experience in payor contracts
Location:
  • The position is a virtual, remote work position. Travel required 4-8 times a year for executive, Board, and team meetings.
