A leading investment management firm seeks a Paralegal to join their dynamic team. Responsibilities The Paralegal will be a member of their legal department. He/She will work with a group of attorneys, other paralegals and legal assistants on matters related to the formation and closings of investment funds, investments made by the funds, review and negotiation of various agreements related to corporate and fund activities, provide support to business groups and other corporate matters. Responsibilities will include: * Assisting attorneys in setting up and closing investment funds, including reviewing subscription agreements and client account questionnaires for accuracy and completeness; maintaining an on-line database for fund documents; obtaining documentary requirements from investors, reviewing "world sky" requirements with legal counsel, compiling closing documents and other fund closing related matters; * Responding to "know your customer" requests from firm counterparties and collecting documents in connection with such requests and deal related matters; * Assisting with U.S. and non-U.S. regulatory filings and document production for legal proceedings; * Handling corporate and fund-related responsibilities that may include maintaining standing signature resolutions, assisting in legal entity formation and maintenance, assisting in private placement compliance in non-U.S. jurisdictions and supporting other legal personnel with respect to process and procedure improvements; * Drafting, reviewing and negotiating certain documents, including confidentiality agreements, access letters, service provider and vendor agreements and fund transfer documents; * Collaborating with and providing backup support for other team members, as necessary; and * Other matters in connection with special projects that arise from time to time. Qualifications * 2 years Paralegal experience. Working in the investment management industry or with financial or investment related transactions a plus * Strong negotiation and communication skills; * Careful reviewer of documentation; and * Outstanding analytic and organizational skills.
