SUMMARYReporting to the Senior Counsel, the selected candidate will be responsible forgeneral corporate paralegal duties, including corporate management of thecompany’s 30 subsidiaries, administration of the company’s subsidiarymanagement platform through CT Corporation (HCUE), preparation of corporateresolutions and submission of subsidiary annual reports and other statefilings. A Bachelor’s degree and/or Paralegal degree are preferred. A more detailed description of the position is provided below.RESPONSIBILITIES: Subsidiary management, primarily through working with third-party subsidiary management vendor, includingSubsidiary formation and dissolutionOfficer additions and resignationsSubmission of annual reports and other state filings Preparation of corporate resolutions Preparation of standard subsidiary LLC agreements Preparation of banking resolutions and incumbency certificates Responding to know-your-customer information requests General corporate governance Reviewing, drafting (redlining) and negotiating contracts in coordination with attorney as necessary Data base management of legal documents Preparation of law firm engagement letters, and general support for law firm invoicing and bill payment (primarily through legal invoicing system) General support to tax, regulatory, legal, treasury, asset management and debt compliance functions Critical thinking, problem solving, ability to work independently Confidence in taking ownership of projects, drafting and negotiating, planning and organizing Attention to detail and accuracy EXPERIENCE AND EDUCATION: Proficiency in reviewing, drafting and negotiating corporate governance and legal documents Proficiency in word processing Contract Administration Familiarity with subsidiary management and legal invoicing vendor systems (preferred) Bachelors or equivalent (preferred) Paralegal degree (preferred)
