Job Summary The Bank Chief Operational Risk Officer is responsible for the leadership, innovation, governance, and management necessary to identify, evaluate, mitigate, and monitor the Bank's operational risks (including IT, information security and data risks) that may affect the Bank. The Bank Chief Operational Risk Officer develops risk management tools, practices, and policies to analyze and report on operational risks, and to manage operational risks according to the enterprise risk management framework. This role ensures the organization's operational risk management policies and strategies are in compliance with applicable regulations, rating agency standards, and strategic imperatives of the organization. Included within the Bank Chief Operational Risk Officer and their reports’ responsibilities are the oversight and execution of the InfoSec and data risk strategy as a 2nd line of defense function. This role is lead on ensuring FDIC regulatory compliance for InfoSec and data governance. The Chief Operational Risk Officer interacts with both the Bread Financial and Bank boards and provides confidential assessments on InfoSec and data risk. The Bank Chief Operational Risk Officer monitors and analyzes operational risks within the company's business units and reports on these risks, along with other risk elements, to applicable risk management committees and the Board while serving as second line of defense governance and risk oversight of vendors and affiliates for the Bank. This senior leadership role ensures issues requiring customer restitution meet the Bank’s internal standard and is responsible for all 2nd LOD responsibilities related to complaint management including 2nd LOD oversight of responses, reporting and analytics, reduction initiatives and organizational strategy. This role supports implementation of risk and control and business assessments across the enterprise including process mapping, risk and control matrices, risk statements, applicability controls, testing and risk assessments. The Chief Operational Risk Officer is responsible for understanding and promoting InfoSec and data risk awareness and risk management strategy for Bread Financial and its affiliated entities, including our banks. The Chief Operational Risk Officer designs and implements global assessment and assurance strategies for InfoSec and data risk management, facilitates and coordinates InfoSec and data risk assessments and benchmarking for data governance and information security across all platforms. Maintain up-to-date knowledge and understanding of technology trends, security threats, infrastructure vulnerabilities and business dependencies on IT and data strategy and strengthens the security environment and data governance through a close working relationship with IT senior leadership (CIO, CISO, etc.), deep understanding of the security and data strategy, participation in advisory requests, and innovative thought leadership on emerging risks and issues. Job Description Essential Job Functions STRATEGY: Ensures the established operational risk management framework and governance aligns to applicable external guidance (rating agencies, regulations, industry best practice) and the businesses strategic objectives. Promotes, matures and governs the operational risk strategy and framework throughout for the Bank and Service Providers including but not limited to new initiatives, business development and control and validation processes. Sets the risk management strategy for all aspects of customer restitution and vendor/affiliate oversight. Develops an InfoSec and data risk strategy annually and drives the roadmap of risk assessments to continually measure progress, Manages the InfoSec and Data Risk Assessment Program and assures both InfoSec and data issues adhere to the ERO framework. Serves as lead from the Risk organization to InfoSec and data committees and presents to Bank of Board of Directors (BOD) and Bread Financial Holdings, Inc. BOD to influence strategy and assure growth through risk mitigation. Benchmarks business units to a common InfoSec and Data risk register to assure quality and consistency globally. Collaboration - Coordinates risk management across the enterprise; facilitates the creation and communication of new or updated risk management plans, including policy documentation. Collaborates with business leaders to understand needs, practices, and expectations, as well as drive solutions that support the organization’s risk management goals. Provides subject matter expertise in and oversight of the design and execution of relevant reviews and testing. Functions as an ambassador to InfoSec and data senior leadership and provides guidance on prioritization for successful risk outcomes to improve quality and meet regulatory compliance. OPERATIONAL RISK: Oversees and monitors all operational risk management activities for the Bank and Affiliate Service Providers. Leads a group of operational risk professionals who are responsible for educating risk owners, communicating risk policies and programs, identifying risks, developing assessments, providing input over controls and testing, advising on and monitoring remediation activities, and creating reporting. Proactively advises first-line business units on applicable operational risk standards, including keeping up-to-date with developments in the applicable laws, rules, standards, and industry practices. Proactively works with business unit management to identify and assess the operational risks associated with business activities, ensuring alignment with the ERM framework. Monitors and facilitates changes in business processes necessary to meet regulatory changes and mitigate operational risk exposure to the Bank and Affiliate Service Providers, taking into consideration peer practices related to Operational Risk. Monitors and analyzes Operational risks within the company's business units and reports on these risks, along with other risk elements, to the applicable risk committees and Board. REPORTING AND ANALYSIS: Proactively evaluate risk reporting (metrics, loss events, findings, remediation plans, etc.), internal and external research, including leveraging peer benchmarks to identify current and emerging risk issues and develop effective response strategies to address identified risks/gaps. Coordinate risk related reporting leveraged for internal and external examinations where applicable. VENDOR MANAGEMENT: Oversee risk management activities and reporting of third-party relationships for the Bank and Affiliate Service Providers. Develop and maintain oversight and management of an effective enterprise vendor risk management program. Confirm appropriate due diligence is conducted on potential and existing third parties and present results to the operational and bank risk management committee. Assist to educate the enterprise on identifying, remediating, and reporting vendor risk. AFFILIATE OVERSIGHT: Oversight of affiliate third-party relationships and services to ensure that risks across the Bank’s risk pillars are well understood and properly managed. Responsible for conceptualizing, developing, and implementing monitoring and oversight activities for services provided to the Banks through affiliate relationships. Oversight activities include risk assessments and due diligence, contract review and contract amendments, ongoing monitoring, RCSAs, action planning, issue management, and remediation, and ensuring compliance with sections 23A and 23B of the Federal Reserve Act by monitoring Regulation W processes. LEADERSHIP AND MANAGEMENT: Leads, develops and motivates a strong team in performing related functions and ensures adequate bench strength to sustain a strong operational risk structure. Ability to influence at all levels. Superior communications skills, large and small audience across various levels of the organization. Demonstrated ability to develop and manage relationships at all levels, proven ability to influence change across a large organization, relationship builder who can establish trust, confidence and credibility with senior leaders. Reports to: Chief Risk Officer Working Conditions/ Physical Requirements: Normal office environment. Required to work from the office at least 5 days each month even if hired into a work-at-home or hybrid role; in-office work requirement can be accomplished by working from a Bread Financial office, a client location if you are in a client-facing role, or other necessary business-related travel. Typical Starting Range: $217,700.00 - $466,600.00 Full Salary Range for position: California: $250,400.00 - $583,200.00 Colorado: $217,700.00 - $489,900.00 New York: $239,500.00 - $583,200.00 Washington: $228,600.00 - $536,600.00 The actual base pay within this range may be dependent upon many factors, which may include, but are not limited to, work location, education, experience, and skills.
