Summary:

CSG is searching for a Vice President, Investment Counsel who will bring their expertise to this pivotal role providing legal counsel in connection with investments, operations, regulatory and other matters. The ideal candidate will work closely with the top executives, delivering sound legal opinions as a subject matter expert in asset-based and real estate lending and other complex financial transactions. This position is also charged with providing counsel and assistance in other business areas on behalf of CSG affiliates. 

Essential Job Duties & Responsibilities (Include but are not limited to):

  • Prepare, review and negotiate confidentiality and non-disclosure agreements (including "click-throughs")
  • Prepare and negotiate engagement agreements with consultants, outside law firms and various other parties
  • Oversight of external counsel and contractors
  • Review and analyze, including identification of relevant risks, syndicated credit agreements, bond indentures and other financing documents, including security documents, related to considered purchases on the secondary market, including but not limited to the following asset classes:
    1. Real Estate,
    2. Shipping,
    3. Upstream and downstream oil and gas,
    4. Non-recourse project financings (such as for LNG facilities),
    5. Public/private partnership financings, 
    6. Aviation and aircraft, and
    7. Securitizations (including RMBS and CMBS)
  • Provide Internal support for new origination teams on direct originations
  • Prepare in conjunction with the business teams internal purchase or sale documentation related to the foregoing
  • Prepare certain sections of the relevant investment or loan committee profile for transactions being submitted for approval consideration
  • Review nationally syndicated loan agreements, public and 144A indentures and other debt transaction documents to accurately assess risks, in assurance of obtaining company investment objectives
  • Work with external counsel on senior secured loan originations
  • Verbally develop and defend legal and business conclusions
  • Conduct legal research as needed related to investment ideas and other business matters
  • Assist in the development and delivery of training for the investment team on legal concepts, issues, topics and other related areas
  • Monitor industry news and information for topics, trends, changes to law, etc. to help the company stay informed of legal issues that may impact the business, industry or transactions
  • Negotiate commercial agreements with vendors in support of affiliated entities
  • Address bank regulatory projects as needed 
  • Other duties as directed by the manager

Qualifications (Education, Computer Skills, Certifications, Etc.):

  • Bachelor’s degree in business, liberal arts, history or related area
  • JD degree from an ABA accredited law school with above average academic performance
  • Currently licensed to practice law and in good standing, preferably with the State Bar of Texas
  • 4-7 years of experience in private practice in real estate and/or experience with secured financings strongly preferred, but not required
  • At least 4 years of experience representing lenders in complex secured corporate lending or real estate lending transactions
  • Workout experience with troubled credits and bankruptcy proceedings is preferred
  • Solid understanding of financial markets and capital markets
  • Strong financial acumen, including financial statement and credit analysis, business valuation and asset valuation a plus, but not required
  • Strong research, analytical, quantitative and problem-solving skills
  • Able to synthesize information and reach conclusions
  • Positive working attitude and passion for investing
  • Determination to find solutions even in tough scenarios
  • Ability to prioritize tasks while balancing the needs of multiple constituencies and deadlines
  • Excellent verbal and written communications skills, with the ability to communicate complex concepts effectively and succinctly
  • Comfort with a fast-paced environment with rapidly changing demands
