Ziegler is seeking a Senior Counsel to join our Legal team. The SC will have the opportunity to work on various legal matters relating to our investment banking and private equity/fund management businesses and general corporate matters. The SC reports directly to the Executive Managing Director, Chief Operating Officer & General Counsel. The position will be located at the company’s Chicago loop headquarters. This is a hybrid role requiring the incumbent to be in the office three days per week.

The successful candidate will be responsible for the following:

• Drafting, reviewing and negotiating various agreements relating to Ziegler’s investment banking business (including engagement letters, confidentiality agreements, vendor agreements, termination letters, etc.)
• Advising and assisting in the identification, escalation and resolution of potential conflicts and reputational issues;
• Advising and assisting in the recommendation, implementation and maintenance of policies, procedures and protocols for supported business groups;
• Assisting with the formation of Ziegler’s proprietary funds, including drafting and coordination of PPMs, limited partnership agreements, negotiation side letter agreements and other related documentation
• Assisting in proprietary fund vehicle formation and dissolution
• Interpret existing laws, rules and regulations, and advise on changes thereto relating to Private Funds
• Manage actual and potential litigation, enforcement matters and responses to third party subpoenas (including internal reviews and investigations related to such matters).
• Identify and resolve Advisers Act issues raised by Ziegler’s management of its proprietary funds
• Oversee compliance for proprietary funds

PROFESSIONAL QUALIFICATIONS

• Law Degree/Juris Doctorate required
• Attorney must be admitted to practice law and a member in good standing in the State of Illinois
• 6-8 years of law firm experience or a combination of big law and private equity experience with a focus on fund formation, corporate and/or transactional law
• Strong familiarity with the Advisors Act, 40 Act, 33 Act, 34 Act and Dodd-Frank
